AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF LATVIA AND THE GOVERNMENT OF THE KINGDOM OF SWEDEN ON THE RIGA GRADUATE SCHOOL OF LAW

Preamble

The Government of the Republic of Latvia and the Government of the Kingdom of Sweden (the Parties),

committed to fulfil the Agreement of July 14, 1997 between the Government of the Republic of Latvia and the Government of the Kingdom of Sweden on the foundation of the Riga Graduate School of Law (the RGSL) and to ensure the goals of that agreement,

desiring to promote the quality of education and research in the field of jurisprudence in the Republic of Latvia, and

bearing in mind the Letter of Intent signed on June 20, 2005 by representatives of the Parties,

hereby agree as follows:

Article 1

(1) The Government of the Kingdom of Sweden shall, within three (3) days from the day this Agreement comes into force, but not later than December 16, 2005, transfer its part (51 per cent) of the shares of the limited liability company Riga Graduate School of Law, presently - according to the decision of the Government of the Kingdom of Sweden of August 29, 2002 (UD2002/1301/EC) - held by the Swedish Government Agency Svenska institutet (The Swedish Institute), to the Government of the Republic of Latvia. The transfer of ownership shall be effectuated by the respective entry in the Shareholder's Register.

(2) The Government of the Republic of Latvia shall pay the agreed price of LVL 250 000 (two hundred and fifty thousand lats) to the Swedish Institute, not later than January 15, 2006.

Article 2

The Government of the Kingdom of Sweden shall, upon the signature of this Agreement but not later than November 15, 2005, pay a contribution of LVL 250 000 (two hundred and fifty thousand lats) to the RGSL.

Article 3

The Government of the Republic of Latvia undertakes to transfer its shares of the RGSL to the University of Latvia within one week's time from the date when the transfer of shares stipulated in Article 1(1) has taken place. The transfer of ownership shall be effectuated by the respective entry in the Shareholder's Register.

Article 4

The Government of the Republic of Latvia shall effectuate a change of the legal status of the RGSL to the effect that the RGSL is a part of the University of Latvia. Until then the RGSL shall operate as a non-for-profit organization limited liability company according to the respective normative acts of the Republic of Latvia.

Article 5

(1) The RGSL shall maintain the ownership of all its property, including real estate, obtained in the name of the Riga Graduate School of Law.

(2) The property of the RGSL shall be used primarily to satisfy the needs of the RGSL.

(3) The Government of the Republic of Latvia shall, in full support of a continuation of the co-operation between the RGSL and the Stockholm School of Economics in Riga in academic and administrative matters, as a key shareholder in the Stockholm School of Economics in Riga promote the joint use and proportional cost sharing of the Wallenberg building, Strēlnieku iela 4a, by the two Schools, to the maximum benefit of both institutions.

(4) With regard to the land issue, the Parties acknowledge the relevant provisions in the Agreement of June 30, 1993 on the establishment of the Stockholm School of Economics in Riga.

Article 6

In order to guarantee the transfer of the ownership and the maintaining of the high quality of the education, the Government of the Republic of Latvia shall provide a state support to the University of Latvia by allocating, additionally in the State Budget for the years 2006 and 2007 a lump-sum payment in one or several installments in the total amount of LVL 750000 (seven hundred and fifty thousand lats) , and will continue to provide annually a financial support to the RGSL on the present level till the year 2010.

Article 7

(1) The RGSL shall be autonomous in resolving academic issues.

(2) At least one of the study programs implemented by the RGSL shall be directed towards all of the following: international public law, international private law, European Union law and human rights law.

(3) The tuition language within the RGSL shall during at least ten years from this Agreement's coming into force be English and, if appropriate, another official language of the European Union.

Article 8

The library of the RGSL shall remain undivided, publicly accessible and accessible free of charge to academic staff and students of the RGSL, the Stockholm School of Economics in Riga and the University of Latvia.

Article 9

(1) The RGSL maintains the right to use its historically established name "Riga Graduate School of Law" and symbols.

(2) The name of the RGSL shall appear along with the name of the University of Latvia in documents verifying the completion of the study programs and courses.

Article 10

This Agreement is signed in Riga on 7 November, 2005 in two original copies in the Latvian and the English language, both texts being equally authentic. In the event of a conflict or inconsistency between the two versions, the text in the English language shall prevail.

Entry into force of this Agreement and Transitional provisions

1. The Parties shall notify each other through diplomatic channels that all legal requirements for the entry into force of the Agreement have been fulfilled. This Agreement shall enter into force on the date of the receipt of the latter notification.

2. When this agreement comes into force the Agreement of July 14, 1997 between the Government of the Kingdom of Sweden and the Government of the Republic of Latvia on the foundation of the Riga Graduate School of Law, and the Additional Protocol of January 13, 2000 to the said Agreement, shall be considered as terminated.

3. Notwithstanding paragraph 2 - until the legal status of the RGSL has been altered, but at the most for a period of twelve (12) months, the provisions on Administration of the RGSL, Article 6 in the Agreement of July 14, 1997 between the Government of the Kingdom of Sweden and the Government of the Republic of Latvia on the foundation of the Riga Graduate School of Law shall still apply, with the exception that provisions regarding the Government of the Kingdom of Sweden shall instead refer to the Government of the Republic of Latvia.
