Par Apvienoto Nāciju Organizācijas Konvenciju par starptautiskajiem preču pirkuma-pārdevuma līgumiem

1.pants. Apvienoto Nāciju Organizācijas 1980.gada 11.aprīļa Konvencija par starptautiskajiem preču pirkuma-pārdevuma līgumiem (turpmāk — Konvencija) ar šo likumu tiek pieņemta un apstiprināta.

2.pants. (Izslēgts ar 06.09.2012. likumu, kas stājas spēkā 09.10.2012.)

3.pants. Likums stājas spēkā tā izsludināšanas dienā. Līdz ar likumu izsludināma Konvencija angļu valodā un tās tulkojums latviešu valodā.

4.pants. Konvencija stājas spēkā tās 99.pantā noteiktajā laikā un kārtībā, un par to Ārlietu ministrija paziņo laikrakstā "Latvijas Vēstnesis".

United Nations Convention on Contracts for the International Sale of Goods

(Vienna, 11 April 1980)

THE STATES PARTIES TO THIS CONVENTION,

BEARING IN MIND the broad objectives in the resolutions adopted by the sixth special session of the General Assembly of the United Nations on the establishment of a New International Economic Order,

CONSIDERING that the development of international trade on the basis of equality and mutual benefit is an important element in promoting friendly relations among States,

BEING OF THE OPINION that the adoption of uniform rules which govern contracts for the international sale of goods and take into account the different social, economic and legal systems would contribute to the removal of legal barriers in international trade and promote the development of international trade,

HAVE DECREED as follows:

PART I

SPHERE OF APPLICATION AND GENERAL PROVISIONS

Chapter I

SPHERE OF APPLICATION

Article 1

(1) This Convention applies to contracts of sale of goods between parties whose places of business are in different States:

(a) when the States are Contracting States; or

(b) when the rules of private international law lead to the application of the law of a Contracting State.

(2) The fact that the parties have their places of business in different States is to be disregarded whenever this fact does not appear either from the contract or from any dealings between, or from information disclosed by, the parties at any time before or at the conclusion of the contract.

(3) Neither the nationality of the parties nor the civil or commercial character of the parties or of the contract is to be taken into consideration in determining the application of this Convention.

Article 2

This Convention does not apply to sales:

(a) of goods bought for personal, family or household use, unless the seller, at any time before or at the conclusion of the contract, neither knew nor ought to have known that the goods were bought for any such use;

(b) by auction;

(c) on execution or otherwise by authority of law;

(d) of stocks, shares, investment securities, negotiable instruments or money;

(e) of ships, vessels, hovercraft or aircraft;

(f) of electricity.

Article 3

(1) Contracts for the supply of goods to be manufactured or produced are to be considered sales unless the party who orders the goods undertakes to supply a substantial part of the materials necessary for such manufacture or production.

(2) This Convention does not apply to contracts in which the preponderant part of the obligations of the party who furnishes the goods consists in the supply of labour or other services.

Article 4

This Convention governs only the formation of the contract of sale and the rights and obligations of the seller and the buyer arising from such a contract. In particular, except as otherwise expressly provided in this Convention, it is not concerned with:

(a) the validity of the contract or of any of its provisions or of any usage;

(b) the effect which the contract may have on the property in the goods sold.

Article 5

This Convention does not apply to the liability of the seller for death or personal injury caused by the goods to any person.

Article 6

The parties may exclude the application of this Convention or, subject to article 12, derogate from or vary the effect of any of its provisions.

Chapter II

GENERAL PROVISIONS

Article 7

(1) In the interpretation of this Convention, regard is to be had to its international character and to the need to promote uniformity in its application and the observance of good faith in international trade.

(2) Questions concerning matters governed by this Convention which are not expressly settled in it are to be settled in conformity with the general principles on which it is based or, in the absence of such principles, in conformity with the law applicable by virtue of the rules of private international law.

Article 8

(1) For the purposes of this Convention statements made by and other conduct of a party are to be interpreted according to his intent where the other party knew or could not have been unaware what that intent was.

(2) If the preceding paragraph is not applicable, statements made by and other conduct of a party are to be interpreted according to the understanding that a reasonable person of the same kind as the other party would have had in the same circumstances.

(3) In determining the intent of a party or the understanding a reasonable person would have had, due consideration is to be given to all relevant circumstances of the case including the negotiations, any practices which the parties have established between themselves, usages and any subsequent conduct of the parties.

Article 9

(1) The parties are bound by any usage to which they have agreed and by any practices which they have established between themselves.

(2) The parties are considered, unless otherwise agreed, to have impliedly made applicable to their contract or its formation a usage of which the parties knew or ought to have known and which in international trade is widely known to, and regularly observed by, parties to contracts of the type involved in the particular trade concerned.

Article 10

For the purposes of this Convention:

(a) if a party has more than one place of business, the place of business is that which has the closest relationship to the contract and its performance, having regard to the circumstances known to or contemplated by the parties at any time before or at the conclusion of the contract;

(b) if a party does not have a place of business, reference is to be made to his habitual residence.

Article 11

A contract of sale need not be concluded in or evidenced by writing and is not subject to any other requirement as to form. It may be proved by any means, including witnesses.

Article 12

Any provision of article 11, article 29 or Part II of this Convention that allows a contract of sale or its modification or termination by agreement or any offer, acceptance or other indication of intention to be made in any form other than in writing does not apply where any party has his place of business in a Contracting State which has made a declaration under article 96 of this Convention. The parties may not derogate from or vary the effect or this article.

Article 13

For the purposes of this Convention "writing" includes telegram and telex.

PART II

FORMATION OF THE CONTRACT

Article 14

(1) A proposal for concluding a contract addressed to one or more specific persons constitutes an offer if it is sufficiently definite and indicates the intention of the offeror to be bound in case of acceptance. A proposal is sufficiently definite if it indicates the goods and expressly or implicitly fixes or makes provision for determining the quantity and the price.

(2) A proposal other than one addressed to one or more specific persons is to be considered merely as an invitation to make offers, unless the contrary is clearly indicated by the person making the proposal.

Article 15

(1) An offer becomes effective when it reaches the offeree.

(2) An offer, even if it is irrevocable, may be withdrawn if the withdrawal reaches the offeree before or at the same time as the offer.

Article 16

(1) Until a contract is concluded an offer may be revoked if the revocation reaches the offeree before he has dispatched an acceptance.

(2) However, an offer cannot be revoked:

(a) if it indicates, whether by stating a fixed time for acceptance or otherwise, that it is irrevocable; or

(b) if it was reasonable for the offeree to rely on the offer as being irrevocable and the offeree has acted in reliance on the offer.

Article 17

An offer, even if it is irrevocable, is terminated when a rejection reaches the offeror.

Article 18

(1) A statement made by or other conduct of the offeree indicating assent to an offer is an acceptance. Silence or inactivity does not in itself amount to acceptance.

(2) An acceptance of an offer becomes effective at the moment the indication of assent reaches the offeror. An acceptance is not effective if the indication of assent does not reach the offeror within the time he has fixed or, if no time is fixed, within a reasonable time, due account being taken of the circumstances of the transaction, including the rapidity of the means of communication employed by the offeror. An oral offer must be accepted immediately unless the circumstances indicate otherwise.

(3) However, if, by virtue of the offer or as a result of practices which the parties have established between themselves or of usage, the offeree may indicate assent by performing an act, such as one relating to the dispatch of the goods or payment of the price, without notice to the offeror, the acceptance is effective at the moment the act is performed, provided that the act is performed within the period of time laid down in the preceding paragraph.

Article 19

(1) A reply to an offer which purports to be an acceptance but contains additions, limitations or other modifications is a rejection of the offer and constitutes a counter-offer.

(2) However, a reply to an offer which purports to be an acceptance but contains additional or different terms which do not materially alter the terms of the offer constitutes an acceptance, unless the offeror, without undue delay, objects orally to the discrepancy or dispatches a notice to that effect. If he does not so object, the terms of the contract are the terms of the offer with the modifications contained in the acceptance.

(3) Additional or different terms relating, among other things, to the price, payment, quality and quantity of the goods, place and time of delivery, extent of one party's liability to the other or the settlement of disputes are considered to alter the terms of the offer materially.

Article 20

(1) A period of time for acceptance fixed by the offeror in a telegram or a letter begins to run from the moment the telegram is handed in for dispatch or from the date shown on the letter or, if no such date is shown, from the date shown on the envelope. A period of time for acceptance fixed by the offeror by telephone, telex or other means of instantaneous communication, begins to run from the moment that the offer reaches the offeree.

(2) Official holidays or non-business days occurring during the period for acceptance are included in calculating the period. However, if a notice of acceptance cannot be delivered at the address of the offeror on the last day of the period because that day falls on an official holiday or a non-business day at the place of business of the offeror, the period is extended until the first business day which follows.

Article 21

(1) A late acceptance is nevertheless effective as an acceptance if without delay the offeror orally so informs the offeree or dispatches a notice to that effect.

(2) If a letter or other writing containing a late acceptance shows that it has been sent in such circumstances that if its transmission had been normal it would have reached the offeror in due time, the late acceptance is effective as an acceptance unless, without delay, the offeror orally informs the offeree that he considers his offer as having lapsed or dispatches a notice to that effect.

Article 22

An acceptance may be withdrawn if the withdrawal reaches the offeror before or at the same time as the acceptance would have become effective.

Article 23

A contract is concluded at the moment when an acceptance of an offer becomes effective in accordance with the provisions of this Convention.

Article 24

For the purposes of this Part of the Convention, an offer, declaration of acceptance or any other indication of intention "reaches" the addressee when it is made orally to him or delivered by any other means to him personally, to his place of business or mailing address or, if he does not have a place of business or mailing address, to his habitual residence.

PART III

SALE OF GOODS

Chapter I

GENERAL PROVISIONS

Article 25

A breach of contract committed by one of the parties is fundamental if it results in such detriment to the other party as substantially to deprive him of what he is entitled to expect under the contract, unless the party in breach did not foresee and a reasonable person of the same kind in the same circumstances would not have foreseen such a result.

Article 26

A declaration of avoidance of the contract is effective only if made by notice to the other party.

Article 27

Unless otherwise expressly provided in this Part of the Convention, if any notice, request or other communication is given or made by a party in accordance with this Part and by means appropriate in the circumstances, a delay or error in the transmission of the communication or its failure to arrive does not deprive that party of the right to rely on the communication.

Article 28

If, in accordance with the provisions of this Convention, one party is entitled to require performance of any obligation by the other party, a court is not bound to enter a judgement for specific performance unless the court would do so under its own law in respect of similar contracts of sale not governed by this Convention.

Article 29

(1) A contract may be modified or terminated by the mere agreement of the parties.

(2) A contract in writing which contains a provision requiring any modification or termination by agreement to be in writing may not be otherwise modified or terminated by agreement. However, a party may be precluded by his conduct from asserting such a provision to the extent that the other party has relied on that conduct.

Chapter II

OBLIGATIONS OF THE SELLER

Article 30

The seller must deliver the goods, hand over any documents relating to them and transfer the property in the goods, as required by the contract and this Convention.

Section I. Delivery of the goods and handing over of documents

Article 31

If the seller is not bound to deliver the goods at any other particular place, his obligation to deliver consists:

(a) if the contract of sale involves carriage of the goods - in handing the goods over to the first carrier for transmission to the buyer;

(b) if, in cases not within the preceding subparagraph, the contract related to specific goods, or unidentified goods to be drawn from a specific stock or to be manufactured or produced, and at the time of the conclusion of the contract the parties knew that the goods were at, or were to be manufactured or produced at, a particular place - in placing the goods at the buyer's disposal at that place;

(c) in other cases - in placing the goods at the buyer's disposal at the place where the seller had his place of business at the time of the conclusion of the contract.

Article 32

(1) If the seller, in accordance with the contract or this Convention, hands the goods over to a carrier and if the goods are not clearly identified to the contract by markings on the goods, by shipping documents or otherwise, the seller must give the buyer notice of the consignment specifying the goods.

(2) If the seller is bound to arrange for carriage of the goods, he must make such contracts as are necessary for carriage to the place fixed by means of transportation appropriate in the circumstances and according to the usual terms for such transportation.

(3) If the seller is not bound to effect insurance in respect of the carriage of the goods, he must, at the buyer's request, provide him with all available information necessary to enable him to effect such insurance.

Article 33

The seller must deliver the goods:

(a) if a date is fixed by or determinable from the contract, on that date;

(b) if a period of time is fixed by or determinable from the contract, at any time within that period unless circumstances indicate that the buyer is to choose a date; or

(c) in any other case, within a reasonable time after the conclusion of the contract.

Article 34

If the seller is bound to hand over documents relating to the goods, he must hand them over at the time and place and in the form required by the contract. If the seller has handed over documents before that time, he may, up to that time, cure any lack of conformity in the documents, if the exercise of this right does not cause the buyer unreasonable inconvenience or unreasonable expense. However, the buyer retains any right to claim damages as provided for in this Convention.

Section II. Conformity of the goods and third party claims

Article 35

(1) The seller must deliver goods which are of the quantity, quality and description required by the contract and which are contained or packaged in the manner required by the contract.

(2) Except where the parties have agreed otherwise, the goods do not conform with the contract unless they:

(a) are fit for the purposes for which goods of the same description would ordinarily be used;

(b) are fit for any particular purpose expressly or impliedly made known to the seller at the time of the conclusion of the contract, except where the circumstances show that the buyer did not rely, or that it was unreasonable for him to rely, on the seller's skill and judgement;

(c) possess the qualities of goods which the seller has held out to the buyer as a sample or model;

(d) are contained or packaged in the manner usual for such goods or, where there is no such manner, in a manner adequate to preserve and protect the goods.

(3) The seller is not liable under subparagraphs (a) to (d) of the preceding paragraph for any lack of conformity of the goods if at the time of the conclusion of the contract the buyer knew or could not have been unaware of such lack of conformity.

Article 36

(1) The seller is liable in accordance with the contract and this Convention for any lack of conformity which exists at the time when the risk passes to the buyer, even though the lack of conformity becomes apparent only after that time.

(2) The seller is also liable for any lack of conformity which occurs after the time indicated in the preceding paragraph and which is due to a breach of any of his obligations, including a breach of any guarantee that for a period of time the goods will remain fit for their ordinary purpose or for some particular purpose or will retain specified qualities or characteristics.

Article 37

If the seller has delivered goods before the date for delivery, he may, up to that date, deliver any missing part or make up any deficiency in the quantity of the goods delivered, or deliver goods in replacement of any non-conforming goods delivered or remedy any lack of conformity in the goods delivered, provided that the exercise of this right does not cause the buyer unreasonable inconvenience or unreasonable expense. However, the buyer retains any right to claim damages as provided for in this Convention.

Article 38

(1) The buyer must examine the goods, or cause them to be examined, within as short a period as is practicable in the circumstances.

(2) If the contract involves carriage of the goods, examination may be deferred until after the goods have arrived at their destination.

(3) If the goods are redirected in transit or redispatched by the buyer without a reasonable opportunity for examination by him and at the time of the conclusion of the contract the seller knew or ought to have known of the possibility of such redirection or redispatch, examination may be deferred until after the goods have arrived at the new destination.

Article 39

(1) The buyer loses the right to rely on a lack of conformity of the goods if he does not give notice to the seller specifying the nature of the lack of conformity within a reasonable time after he has discovered it or ought to have discovered it.

(2) In any event, the buyer loses the right to rely on a lack of conformity of the goods if he does not give the seller notice thereof at the latest within a period of two years from the date on which the goods were actually handed over to the buyer, unless this time-limit is inconsistent with a contractual period of guarantee.

Article 40

The seller is not entitled to rely on the provisions of articles 38 and 39 if the lack of conformity relates to facts of which he knew or could not have been unaware and which he did not disclose to the buyer.

Article 41

The seller must deliver goods which are free from any right or claim of a third party, unless the buyer agreed to take the goods subject to that right or claim. However, if such right or claim is based on industrial property or other intellectual property, the seller's obligation is governed by article 42.

Article 42

(1) The seller must deliver goods which are free from any right or claim of a third party based on industrial property or other intellectual property, of which at the time of the conclusion of the contract the seller knew or could not have been unaware, provided that the right or claim is based on industrial property or other intellectual property:

(a) under the law of the State where the goods will be resold or otherwise used, if it was contemplated by the parties at the time of the conclusion of the contract that the goods would be resold or otherwise used in that State; or

(b) in any other case, under the law of the State where the buyer has his place of business.

(2) The obligation of the seller under the preceding paragraph does not extend to cases where:

(a) at the time of the conclusion of the contract the buyer knew or could not have been unaware of the right or claim; or

(b) the right or claim results from the seller's compliance with technical drawings, designs, formulae or other such specifications furnished by the buyer.

Article 43

(1) The buyer loses the right to rely on the provisions of article 41 or article 42 if he does not give notice to the seller specifying the nature of the right or claim of the third party within a reasonable time after he has become aware or ought to have become aware of the right or claim.

(2) The seller is not entitled to rely on the provisions of the preceding paragraph if he knew of the right or claim of the third party and the nature of it.

Article 44

Notwithstanding the provisions of paragraph (1) of article 39 and paragraph (1) of article 43, the buyer may reduce the price in accordance with article 50 or claim damages, except for loss of profit, if he has a reasonable excuse for his failure to give the required notice.

Section III

Remedies for breach of contract by the seller

Article 45

(1) If the seller fails to perform any of his obligations under the contract or this Convention, the buyer may:

(a) exercise the rights provided in articles 46 to 52;

(b) claim damages as provided in articles 74 to 77.

(2) The buyer is not deprived of any right he may have to claim damages by exercising his right to other remedies.

(3) No period of grace may be granted to the seller by a court or arbitral tribunal when the buyer resorts to a remedy for breach of contract.

Article 46

(1) The buyer may require performance by the seller of his obligations unless the buyer has resorted to a remedy which is inconsistent with this requirement.

(2) If the goods do not conform with the contract, the buyer may require delivery of substitute goods only if the lack of conformity constitutes a fundamental breach of contract and a request for substitute goods is made either in conjunction with notice given under article 39 or within a reasonable time thereafter.

(3) If the goods do not conform with the contract, the buyer may require the seller to remedy the lack of conformity by repair, unless this is unreasonable having regard to all the circumstances. A request for repair must be made either in conjunction with notice given under article 39 or within a reasonable time thereafter.

Article 47

(1) The buyer may fix an additional period of time of reasonable length for performance by the seller of his obligations.

(2) Unless the buyer has received notice from the seller that he will not perform within the period so fixed, the buyer may not, during that period, resort to any remedy for breach of contract. However, the buyer is not deprived thereby of any right he may have to claim damages for delay in performance.

Article 48

(1) Subject to article 49, the seller may, even after the date for delivery, remedy at his own expense any failure to perform his obligations, if he can do so without unreasonable delay and without causing the buyer unreasonable inconvenience or uncertainty of reimbursement by the seller of expenses advanced by the buyer. However, the buyer retains any right to claim damages as provided for in this Convention.

(2) If the seller requests the buyer to make known whether he will accept performance and the buyer does not comply with the request within a reasonable time, the seller may perform within the time indicated in his request. The buyer may not, during that period of time, resort to any remedy which is inconsistent with performance by the seller.

(3) A notice by the seller that he will perform within a specified period of time is assumed to include a request, under the preceding paragraph, that the buyer make known his decision.

(4) A request or notice by the seller under paragraph (2) or (3) of this article is not effective unless received by the buyer.

Article 49

(1) The buyer may declare the contract avoided:

(a) if the failure by the seller to perform any of his obligations under the contract or this Convention amounts to a fundamental breach of contract; or

(b) in case of non-delivery, if the seller does not deliver the goods within the additional period of time fixed by the buyer in accordance with paragraph (1) of article 47 or declares that he will not deliver within the period so fixed.

(2) However, in cases where the seller has delivered the goods, the buyer loses the right to declare the contract avoided unless he does so:

(a) in respect of late delivery, within a reasonable time after he has become aware that delivery has been made;

(b) in respect of any breach other than late delivery, within a reasonable time:

(i) after he knew or ought to have known of the breach;

(ii) after the expiration of any additional period of time fixed by the buyer in accordance with paragraph (1) of article 47, or after the seller has declared that he will not perform his obligations within such an additional period; or

(iii) after the expiration of any additional period of time indicated by the seller in accordance with paragraph (2) of article 48, or after the buyer has declared that he will not accept performance.

Article 50

If the goods do not conform with the contract and whether or not the price has already been paid, the buyer may reduce the price in the same proportion as the value that the goods actually delivered had at the time of the delivery bears to the value that conforming goods would have had at that time. However, if the seller remedies any failure to perform his obligations in accordance with article 37 or article 48 or if the buyer refuses to accept performance by the seller in accordance with those articles, the buyer may not reduce the price.

Article 51

(1) If the seller delivers only a part of the goods or if only a part of the goods delivered is in conformity with the contract, articles 46 to 50 apply in respect of the part which is missing or which does not conform.

(2) The buyer may declare the contract avoided in its entirety only if the failure to make delivery completely or in conformity with the contract amounts to a fundamental breach of the contract.

Article 52

(1) If the seller delivers the goods before the date fixed, the buyer may take delivery or refuse to take delivery.

(2) If the seller delivers a quantity of goods greater than that provided for in the contract, the buyer may take delivery or refuse to take delivery of the excess quantity. If the buyer takes delivery of all or part of the excess quantity, he must pay for it at the contract rate.

Chapter III

OBLIGATIONS OF THE BUYER

Article 53

The buyer must pay the price for the goods and take delivery of them as required by the contract and this Convention.

Section I

Payment of the price

Article 54

The buyer's obligation to pay the price includes taking such steps and complying with such formalities as may be required under the contract or any laws and regulations to enable payment to be made.

Article 55

Where a contract has been validly concluded but does not expressly or implicitly fix or make provision for determining the price, the parties are considered, in the absence of any indication to the contrary, to have impliedly made reference to the price generally charged at the time of the conclusion of the contract for such goods sold under comparable circumstances in the trade concerned.

Article 56

If the price is fixed according to the weight of the goods, in case of doubt it is to be determined by the net weight.

Article 57

(1) If the buyer is not bound to pay the price at any other particular place, he must pay it to the seller:

(a) at the seller's place of business; or

(b) if the payment is to be made against the handing over of the goods or of documents, at the place where the handing over takes place.

(2) The seller must bear any increases in the expenses incidental to payment which is caused by a change in his place of business subsequent to the conclusion of the contract.

Article 58

(1) If the buyer is not bound to pay the price at any other specific time, he must pay it when the seller places either the goods or documents controlling their disposition at the buyer's disposal in accordance with the contract and this Convention. The seller may make such payment a condition for handing over the goods or documents.

(2) If the contract involves carriage of the goods, the seller may dispatch the goods on terms whereby the goods, or documents controlling their disposition, will not be handed over to the buyer except against payment of the price.

(3) The buyer is not bound to pay the price until he has had an opportunity to examine the goods, unless the procedures for delivery or payment agreed upon by the parties are inconsistent with his having such an opportunity.

Article 59

The buyer must pay the price on the date fixed by or determinable from the contract and this Convention without the need for any request or compliance with any formality on the part of the seller.

Section II. Taking delivery

Article 60

The buyer's obligation to take delivery consists:

(a) in doing all the acts which could reasonably be expected of him in order to enable the seller to make delivery; and

(b) in taking over the goods.

Section III. Remedies for breach of contract by the buyer

Article 61

(1) If the buyer fails to perform any of his obligations under the contract or this Convention, the seller may:

(a) exercise the rights provided in articles 62 to 65;

(b) claim damages as provided in articles 74 to 77.

(2) The seller is not deprived of any right he may have to claim damages by exercising his right to other remedies.

(3) No period of grace may be granted to the buyer by a court or arbitral tribunal when the seller resorts to a remedy for breach of contract.

Article 62

The seller may require the buyer to pay the price, take delivery or perform his other obligations, unless the seller has resorted to a remedy which is inconsistent with this requirement.

Article 63

(1) The seller may fix an additional period of time of reasonable length for performance by the buyer of his obligations.

(2) Unless the seller has received notice from the buyer that he will not perform within the period so fixed, the seller may not, during that period, resort to any remedy for breach of contract. However, the seller is not deprived thereby of any right he may have to claim damages for delay in performance.

Article 64

(1) The seller may declare the contract avoided:

(a) if the failure by the buyer to perform any of his obligations under the contract or this Convention amounts to a fundamental breach of contract; or

(b) if the buyer does not, within the additional period of time fixed by the seller in accordance with paragraph (1) of article 63, perform his obligation to pay the price or take delivery of the goods, or if he declares that he will not do so within the period so fixed.

(2) However, in cases where the buyer has paid the price, the seller loses the right to declare the contract avoided unless he does so:

(a) in respect of late performance by the buyer, before the seller has become aware that performance has been rendered; or

(b) in respect of any breach other than late performance by the buyer, within a reasonable time:

(i) after the seller knew or ought to have known of the breach; or

(ii) after the expiration of any additional period of time fixed by the seller in accordance with paragraph (1) or article 63, or after the buyer has declared that he will not perform his obligations within such an additional period.

Article 65

(1) If under the contract the buyer is to specify the form, measurement or other features of the goods and he fails to make such specification either on the date agreed upon or within a reasonable time after receipt of a request from the seller, the seller may, without prejudice to any other rights he may have, make the specification himself in accordance with the requirements of the buyer that may be known to him.

(2) If the seller makes the specification himself, he must inform the buyer of the details thereof and must fix a reasonable time within which the buyer may make a different specification. If, after receipt of such a communication, the buyer fails to do so within the time so fixed, the specification made by the seller is binding.

Chapter IV

PASSING OF RISK

Article 66

Loss of or damage to the goods after the risk has passed to the buyer does not discharge him from his obligation to pay the price, unless the loss or damage is due to an act or omission of the seller.

Article 67

(1) If the contract of sale involves carriage of the goods and the seller is not bound to hand them over at a particular place, the risk passes to the buyer when the goods are handed over to the first carrier for transmission to the buyer in accordance with the contract of sale. If the seller is bound to hand the goods over to a carrier at a particular place, the risk does not pass to the buyer until the goods are handed over to the carrier at that place. The fact that the seller is authorized to retain documents controlling the disposition of the goods does not affect the passage of the risk.

(2) Nevertheless, the risk does not pass to the buyer until the goods are clearly identified to the contract, whether by markings on the goods, by shipping documents, by notice given to the buyer or otherwise.

Article 68

The risk in respect of goods sold in transit passes to the buyer from the time of the conclusion of the contract. However, if the circumstances so indicate, the risk is assumed by the buyer from the time the goods were handed over to the carrier who issued the documents embodying the contract of carriage. Nevertheless, if at the time of the conclusion of the contract of sale the seller knew or ought to have known that the goods had been lost or damaged and did not disclose this to the buyer, the loss or damage is at the risk of the seller.

Article 69

(1) In cases not within articles 67 and 68, the risk passes to the buyer when he takes over the goods or, if he does not do so in due time, from the time when the goods are placed at his disposal and he commits a breach of contract by failing to take delivery.

(2) However, if the buyer is bound to take over the goods at a place other than a place of business of the seller, the risk passes when delivery is due and the buyer is aware of the fact that the goods are placed at his disposal at that place.

(3) If the contract relates to goods not then identified, the goods are considered not to be placed at the disposal of the buyer until they are clearly identified to the contract.

Article 70

If the seller has committed a fundamental breach of contract, articles 67, 68 and 69 do not impair the remedies available to the buyer on account of the breach.

Chapter V

PROVISIONS COMMON TO THE OBLIGATIONS OF THE SELLER AND OF THE BUYER

Section I. Anticipatory breach and instalment contracts

Article 71

(1) A party may suspend the performance of his obligations if, after the conclusion of the contract, it becomes apparent that the other party will not perform a substantial part of his obligations as a result of:

(a) a serious deficiency in his ability to perform or in his creditworthiness; or

(b) his conduct in preparing to perform or in performing the contract.

(2) If the seller has already dispatched the goods before the grounds described in the preceding paragraph become evident, he may prevent the handing over of the goods to the buyer even though the buyer holds a document which entitles him to obtain them. The present paragraph relates only to the rights in the goods as between the buyer and the seller.

(3) A party suspending performance, whether before or after dispatch of the goods, must immediately give notice of the suspension to the other party and must continue with performance if the other party provides adequate assurance of his performance.

Article 72

(1) If prior to the date for performance of the contract it is clear that one of the parties will commit a fundamental breach of contract, the other party may declare the contract avoided.

(2) If time allows, the party intending to declare the contract avoided must give reasonable notice to the other party in order to permit him to provide adequate assurance of his performance.

(3) The requirements of the preceding paragraph do not apply if the other party has declared that he will not perform his obligations.

Article 73

(1) In the case of a contract for delivery of goods by instalments, if the failure of one party to perform any of his obligations in respect of any instalment constitutes a fundamental breach of contract with respect to that instalment, the other party may declare the contract avoided with respect to that instalment.

(2) If one party's failure to perform any of his obligations in respect of any instalment gives the other party good grounds to conclude that a fundamental breach of contract will occur with respect to future instalments, he may declare the contract avoided for the future, provided that he does so within a reasonable time.

(3) A buyer who declares the contract avoided in respect of any delivery may, at the same time, declare it avoided in respect of deliveries already made or of future deliveries if, by reason of their interdependence, those deliveries could not be used for the purpose contemplated by the parties at the time of the conclusion of the contract.

Section II. Damages

Article 74

Damages for breach of contract by one party consist of a sum equal to the loss, including loss of profit, suffered by the other party as a consequence of the breach. Such damages may not exceed the loss which the party in breach foresaw or ought to have foreseen at the time of the conclusion of the contract, in the light of the facts and matters of which he then knew or ought to have known, as a possible consequence of the breach of contract.

Article 75

If the contract is avoided and if, in a reasonable manner and within a reasonable time after avoidance, the buyer has bought goods in replacement or the seller has resold the goods, the party claiming damages may recover the difference between the contract price and the price in the substitute transaction as well as any further damages recoverable under article 74.

Article 76

(1) If the contract is avoided and there is a current price for the goods, the party claiming damages may, if he has not made a purchase or resale under article 75, recover the difference between the price fixed by the contract and the current price at the time of avoidance as well as any further damages recoverable under article 74. If, however, the party claiming damages has avoided the contract after taking over the goods, the current price at the time of such taking over shall be applied instead of the current price at the time of avoidance.

(2) For the purposes of the preceding paragraph, the current price is the price prevailing at the place where delivery of the goods should have been made or, if there is no current price at that place, the price at such other place as serves as a reasonable substitute, making due allowance for differences in the cost of transporting the goods.

Article 77

A party who relies on a breach of contract must take such measures as are reasonable in the circumstances to mitigate the loss, including loss of profit, resulting from the breach. If he fails to take such measures, the party in breach may claim a reduction in the damages in the amount by which the loss should have been mitigated.

Section III. Interest

Article 78

If a party fails to pay the price or any other sum that is in arrears, the other party is entitled to interest on it, without prejudice to any claim for damages recoverable under article 74.

Section IV. Exemptions

Article 79

(1) A party is not liable for a failure to perform any of his obligations if he proves that the failure was due to an impediment beyond his control and that he could not reasonably be expected to have taken the impediment into account at the time of the conclusion of the contract or to have avoided or overcome it or its consequences.

(2) If the party's failure is due to the failure by a third person whom he has engaged to perform the whole or a part of the contract, that party is exempt from liability only if:

(a) he is exempt under the preceding paragraph; and

(b) the person whom he has so engaged would be so exempt if the provisions of that paragraph were applied to him.

(3) The exemption provided by this article has effect for the period during which the impediment exists.

(4) The party who fails to perform must give notice to the other party of the impediment and its effect on his ability to perform. If the notice is not received by the other party within a reasonable time after the party who fails to perform knew or ought to have known of the impediment, he is liable for damages resulting from such non-receipt.

(5) Nothing in this article prevents either party from exercising any right other than to claim damages under this Convention.

Article 80

A party may not rely on a failure of the other party to perform, to the extent that such failure was caused by the first party's act or omission.

Section V. Effects of avoidance

Article 81

(1) Avoidance of the contract releases both parties from their obligations under it, subject to any damages which may be due. Avoidance does not affect any provision of the contract for the settlement of disputes or any other provision of the contract governing the rights and obligations of the parties consequent upon the avoidance of the contract.

(2) A party who has performed the contract either wholly or in part may claim restitution from the other party of whatever the first party has supplied or paid under the contract. If both parties are bound to make restitution, they must do so concurrently.

Article 82

(1) The buyer loses the right to declare the contract avoided or to require the seller to deliver substitute goods if it is impossible for him to make restitution of the goods substantially in the condition in which he received them.

(2) The preceding paragraph does not apply:

(a) if the impossibility of making restitution of the goods or of making restitution of the goods substantially in the condition in which the buyer received them is not due to his act or omission;

(b) if the goods or part of the goods have perished or deteriorated as a result of the examination provided for in article 38; or

(c) if the goods or part of the goods have been sold in the normal course of business or have been consumed or transformed by the buyer in the course normal use before he discovered or ought to have discovered the lack of conformity.

Article 83

A buyer who has lost the right to declare the contract avoided or to require the seller to deliver substitute goods in accordance with article 82 retains all other remedies under the contract and this Convention.

Article 84

(1) If the seller is bound to refund the price, he must also pay interest on it, from the date on which the price was paid.

(2) The buyer must account to the seller for all benefits which he has derived from the goods or part of them:

(a) if he must make restitution of the goods or part of them; or

(b) if it is impossible for him to make restitution of all or part of the goods or to make restitution of all or part of the goods substantially in the condition in which he received them, but he has nevertheless declared the contract avoided or required the seller to deliver substitute goods.

Section VI. Preservation of the goods

Article 85

If the buyer is in delay in taking delivery of the goods or, where payment of the price and delivery of the goods are to be made concurrently, if he fails to pay the price, and the seller is either in possession of the goods or otherwise able to control their disposition, the seller must take such steps as are reasonable in the circumstances to preserve them. He is entitled to retain them until he has been reimbursed his reasonable expenses by the buyer.

Article 86

(1) If the buyer has received the goods and intends to exercise any right under the contract or this Convention to reject them, he must take such steps to preserve them as are reasonable in the circumstances. He is entitled to retain them until he has been reimbursed his reasonable expenses by the seller.

(2) If goods dispatched to the buyer have been placed at his disposal at their destination and he exercises the right to reject them, he must take possession of them on behalf of the seller, provided that this can be done without payment of the price and without unreasonable inconvenience or unreasonable expense. This provision does not apply if the seller or a person authorized to take charge of the goods on his behalf is present at the destination. If the buyer takes possession of the goods under this paragraph, his rights and obligations are governed by the preceding paragraph.

Article 87

A party who is bound to take steps to preserve the goods may deposit them in a warehouse of a third person at the expense of the other party provided that the expense incurred is not unreasonable.

Article 88

(1) A party who is bound to preserve the goods in accordance with article 85 or 86 may sell them by any appropriate means if there has been an unreasonable delay by the other party in taking possession of the goods or in taking them back or in paying the price or the cost of preservation, provided that reasonable notice of the intention to sell has been given to the other party.

(2) If the goods are subject to rapid deterioration or their preservation would involve unreasonable expense, a party who is bound to preserve the goods in accordance with article 85 or 86 must take reasonable measures to sell them. To the extent possible he must give notice to the other party of his intention to sell.

(3) A party selling the goods has the right to retain out of the proceeds of sale an amount equal to the reasonable expenses of preserving the goods and of selling them. He must account to the other party for the balance.

PART IV

FINAL PROVISIONS

Article 89

The Secretary-General of the United Nations is hereby designated as the depositary for this Convention.

Article 90

This Convention does not prevail over any international agreement which has already been or may be entered into and which contains provisions concerning the matters governed by this Convention, provided that the parties have their places of business in States parties to such agreement.

Article 91

(1) This Convention is open for signature at the concluding meeting of the United Nations Conference on Contracts for the International Sale of Goods and will remain open for signature by all States at the Headquarters of the United Nations, New York until 30 September 1981.

(2) This Convention is subject to ratification, acceptance or approval by the signatory States.

(3) This Convention is open for accession by all States which are not signatory States as from the date it is open for signature.

(4) Instruments of ratification, acceptance, approval and accession are to be deposited with the Secretary-General of the United Nations.

Article 92

(1) A Contracting State may declare at the time of signature, ratification, acceptance, approval or accession that it will not be bound by Part II of this Convention or that it will not be bound by Part III of this Convention.

(2) A Contracting State which makes a declaration in accordance with the preceding paragraph in respect of Part II or Part III of this Convention is not to be considered a Contracting State within paragraph (1) of article 1 of this Convention in respect of matters governed by the Part to which the declaration applies.

Article 93

(1) If a Contracting State has two or more territorial units in which, according to its constitution, different systems of law are applicable in relation to the matters dealt with in this Convention, it may, at the time of signature, ratification, acceptance, approval or accession, declare that this Convention is to extend to all its territorial units or only to one or more of them, and may amend its declaration by submitting another declaration at any time.

(2) These declarations are to be notified to the depositary and are to state expressly the territorial units to which the Convention extends.

(3) If, by virtue of a declaration under this article, this Convention extends to one or more but not all of the territorial units of a Contracting State, and if the place of business of a party is located in that State, this place of business, for the purposes of this Convention, is considered not to be in a Contracting State, unless it is in a territorial unit to which the Convention extends.

(4) If a Contracting State makes no declaration under paragraph (1) of this article, the Convention is to extend to all territorial units of that State.

Article 94

(1) Two or more Contracting States which have the same or closely related legal rules on matters governed by this Convention may at any time declare that the Convention is not to apply to contracts of sale or to their formation where the parties have their places of business in those States. Such declarations may be made jointly or by reciprocal unilateral declarations.

(2) A Contracting State which has the same or closely related legal rules on matters governed by this Convention as one or more non-Contracting States may at any time declare that the Convention is not to apply to contracts of sale or to their formation where the parties have their places of business in those States.

(3) If a State which is the object of a declaration under the preceding paragraph subsequently becomes a Contracting State, the declaration made will, as from the date on which the Convention enters into force in respect of the new Contracting State, have the effect of a declaration made under paragraph (1), provided that the new Contracting State joins in such declaration or makes a reciprocal unilateral declaration.

Article 95

Any State may declare at the time of the deposit of its instrument of ratification, acceptance, approval or accession that it will not be bound by subparagraph (1)(b) of article 1 of this Convention.

Article 96

A Contracting State whose legislation requires contracts of sale to be concluded in or evidenced by writing may at any time make a declaration in accordance with article 12 that any provision of article 11, article 29, or Part II of this Convention, that allows a contract of sale or its modification or termination by agreement or any offer, acceptance, or other indication of intention to be made in any form other than in writing, does not apply where any party has his place of business in that State.

Article 97

(1) Declarations made under this Convention at the time of signature are subject to confirmation upon ratification, acceptance or approval.

(2) Declarations and confirmations of declarations are to be in writing and be formally notified to the depositary.

(3) A declaration takes effect simultaneously with the entry into force of this Convention in respect of the State concerned. However, a declaration of which the depositary receives formal notification after such entry into force takes effect on the first day of the month following the expiration of six months after the date of its receipt by the depositary. Reciprocal unilateral declarations under article 94 take effect on the first day of the month following the expiration of six months after the receipt of the latest declaration by the depositary.

(4) Any State which makes a declaration under this Convention may withdraw it at any time by a formal notification in writing addressed to the depositary. Such withdrawal is to take effect on the first day of the month following the expiration of six months after the date of the receipt of the notification by the depositary.

(5) A withdrawal of a declaration made under article 94 renders inoperative, as from the date on which the withdrawal takes effect, any reciprocal declaration made by another State under that article.

Article 98

No reservations are permitted except those expressly authorized in this Convention.

Article 99

(1) This Convention enters into force, subject to the provisions of paragraph (6) of this article, on the first day of the month following the expiration of twelve months after the date of deposit of the tenth instrument of ratification, acceptance, approval or accession, including an instrument which contains a declaration made under article 92.

(2) When a State ratifies, accepts, approves or accedes to this Convention after the deposit of the tenth instrument of ratification, acceptance, approval or accession, this Convention, with the exception of the Part excluded, enters into force in respect of that State, subject to the provisions of paragraph (6) of this article, on the first day of the month following the expiration of twelve months after the date of the deposit of its instrument of ratification, acceptance, approval or accession.

(3) A State which ratifies, accepts, approves or accedes to this Convention and is a party to either or both the Convention relating to a Uniform Law on the Formation of Contracts for the International Sale of Goods done at The Hague on 1 July 1964 (1964 Hague Formation Convention) and the Convention relating to a Uniform Law on the International Sale of Goods done at The Hague on 1 July 1964 (1964 Hague Sales Convention) shall at the same time denounce, as the case may be, either or both the 1964 Hague Sales Convention and the 1964 Hague Formation Convention by notifying the Government of the Netherlands to that effect.

(4) A State party to the 1964 Hague Sales Convention which ratifies, accepts, approves or accedes to the present Convention and declares or has declared under article 52 that it will not be bound by Part II of this Convention shall at the time of ratification, acceptance, approval or accession denounce the 1964 Hague Sales Convention by notifying the Government of the Netherlands to that effect.

(5) A State party to the 1964 Hague Formation Convention which ratifies, accepts, approves or accedes to the present Convention and declares or has declared under article 92 that it will not be bound by Part III of this Convention shall at the time of ratification, acceptance, approval oraccession denounce the 1964 Hague Formation Convention by notifying the Government of the Netherlands to that effect.

(6) For the purpose of this article, ratifications, acceptances, approvals and accessions in respect of this Convention by States parties to the 1964 Hague Formation Convention or to the 1964 Hague Sales Convention shall not be effective until such denunciations as may be required on the part of those States in respect of the latter two Conventions have themselves become effective. The depositary of this Convention shall consult with the Government of the Netherlands, as the depositary of the 1964 Conventions, so as to ensure necessary co-ordination in this respect.

Article 100

(1) This Convention applies to the formation of a contract only when the proposal for concluding the contract is made on or after the date when the Convention enters into force in respect of the Contracting States referred to in subparagraph (1)(a) or the Contracting State referred to in subparagraph (1)(b) of article 1.

(2) This Convention applies only to contracts concluded on or after the date when the Convention enters into force in respect of the Contracting States referred to in subparagraph (1)(a) or the Contracting State referred to in subparagraph (1)(b) of article 1.

Article 101

(1) A Contracting State may denounce this Convention, or Part II or Part III of the Convention, by a formal notification in writing addressed to the depositary.

(2) The denunciation takes effect on the first day of the month following the expiration of twelve months after the notification is received by the depositary. Where a longer period for the denunciation to take effect is specified in the notification, the denunciation takes effect upon the expiration of such longer period after the notification is received by the depositary.

Valstis — šīs Konvencijas dalībnieces,

ņemot vērā rezolūciju kopīgos mērķus, kuras pieņemtas Apvienoto Nāciju Organizācijas Ģenerālās Asamblejas sestajā speciālajā sesijā, par jaunā starptautiskā ekonomiskā stāvokļa noteikšanu,

uzskatot, ka uz vienlīdzības un savstarpējā izdevīguma pamatiem balstītas starptautiskās tirdzniecības attīstība ir draudzīgu starpvalstisko attiecību attīstības veicināšanas svarīgs elements,

uzskatot, ka vienotu normu pieņemšana, kuras regulē preču starptautiskā pirkuma-pārdevuma līgumus un ņem vērā dažādas sabiedriskās, ekonomiskās un tiesību sistēmas, veicinās starptautiskā tirdzniecībā esošo tiesisko šķēršļu likvidēšanu un starptautiskās tirdzniecības attīstību,

vienojušās par sekojošo:

I daļa. Pielietošanas sfēra un vispārīgie noteikumi

I nodaļa. Pielietošanas sfēra

1.pants

1) Šī Konvencija tiek piemērota preču pirkuma — pārdevuma līgumiem starp pusēm, kuru uzņēmumi atrodas dažādās valstīs:

a) kad šīs valstis ir Līgumslēdzējas valstis; vai arī

b) kad, atbilstoši starptautisko privāto tiesību normām, ir piemērojamas Līgumslēdzējas valsts tiesības.

2) Tas apstāklis, ka pušu komerciālie uzņēmumi atrodas dažādās valstīs, netiek ņemts vērā, ja tas neizriet ne no līguma, ne no tā noslēgšanas brīdī pušu starpā esošām vai pirms tam pastāvējušām lietišķajām attiecībām vai informācijas apmaiņas.

3) Ne pušu nacionālā piederība, ne viņu vai līguma civilais vai komerciālais raksturs netiek ņemti vērā, nosakot šīs Konvencijas piemērojamību.

2.pants

Šī Konvencija netiek piemērota, ja pārdod:

a) preces, kuras tiek iegādātas personiskajām, ģimenes vai mājsaimniecības vajadzībām, izņemot gadījumus, kad pārdevējs jebkurā laikā pirms vai līguma slēgšanas brīdī nezināja un viņam nevajadzēja zināt, ka preces tiek iegādātas šādām vajadzībām;

b) izsolē;

c) izpildot spriedumu vai citā veidā, saskaņā ar likumu;

d) fondu vērtspapīrus, akcijas, nodrošinājuma dokumentus, apgrozījuma dokumentus vai naudu;

e) gaisa un ūdens transporta kuģus, kā arī kuģus uz gaisa spilvena;

f) elektroenerģiju.

3.pants

1) Līgumi preču piegādei, kuras paredzētas izgatavošanai vai ražošanai, tiek uzskatīti par pirkuma — pārdevuma līgumiem, ja tikai puse, kura pasūta preces, neuzņemas saistības piegādāt būtisku daļu materiālu, kuri nepieciešami tādu preču izgatavošanai vai ražošanai.

2) Šī Konvencija netiek piemērota līgumiem, kuros preču piegādātājas puses saistību dominējoša daļa sastāv no darba izpildes vai citu pakalpojumu sniegšanas.

4.pants

Šī Konvencija regulē tikai pirkuma — pārdevuma līguma slēgšanu un pircēja un pārdevēja tiesības un pienākumus, kuri rodas no šāda līguma. Īpaši, ja nekas cits tieši nav paredzēts Konvencijā, tā neattiecas uz:

a) paša līguma vai kādu tā noteikumu, vai jebkuras paražas spēkā esamību;

b) sekām, kuras var būt līgumam, attiecībā uz īpašuma tiesībām uz pārdoto preci.

5.pants

Šī Konvencija netiek piemērota attiecībā uz pārdevēja atbildību par kādai personai nodarītajiem veselības bojājumiem vai nāvi, ko izraisījusi prece.

6.pants

Puses var izslēgt šīs Konvencijas piemērošanu, vai arī, ievērojot 12.pantu, atkāpties no jebkura tās noteikuma, vai mainīt kādu no šādiem noteikumiem.

II nodaļa. Vispārīgie noteikumi

7.pants

1) Interpretējot šo Konvenciju, jāņem vērā tās starptautiskais raksturs un nepieciešamība veicināt tās vienveidīgas piemērošanas sasniegšanu un godprātības ievērošanu starptautiskajā tirdzniecībā.

2) Jautājumi, kas attiecas uz ar šo konvenciju regulējamiem jautājumiem, kuri nav tieši noteikti tajā, ir jāatrisina atbilstoši vispārējiem principiem uz kuriem tā balstīta, vai, šādu principu neesamības gadījumā, atbilstoši tiesībām, kuras tiek piemērotas saskaņā ar starptautisko privāto tiesību normām.

8.pants

1) Šīs Konvencijas mērķiem, paziņojumi vai citāda puses rīcība tiek interpretēta saskaņā ar puses nodomu, ja otra puse zināja vai nevarēja nezināt, kāds bija šis nodoms.

2) Ja iepriekšējais punkts nav piemērojams, tad paziņojumi vai citāda puses uzvedība tiek interpretēta saskaņā ar to izpratni, kura būtu saprātīga, ja tā darbotos tādā pašā veidā kā otra puse analoģiskos apstākļos.

3) Nosakot puses nodomus vai izpratni, kura būtu saprātīga, nepieciešams ņemt vērā visus lietas atbilstošos apstākļus, ieskaitot pārrunas, jebkuru praksi, kuru puses noteikušas savās savstarpējās attiecībās, paražas un jebkuru sekojošu pušu uzvedību.

9.pants

1) Puses ir saistītas ar jebkuru paražu, par kuru viņas vienojušās, un ar praksi, kuru viņas noteikušas savās savstarpējās attiecībās.

2) Ja nav vienošanās par ko citu, tiek uzskatīts, ka puses domājušas viņu līgumam vai līguma slēgšanai piemērot paražu, par kuru tās zināja, vai par kuru tām vajadzēja zināt, un kura starptautiskajā tirdzniecībā ir plaši pazīstama, un kuru šāda veida līgumos attiecīgajā tirdzniecības jomā puses pastāvīgi ievēro.

10.pants

Šīs Konvencijas mērķiem:

a) ja pusei ir vairāk kā viens uzņēmums, par tās uzņēmumu tiek uzskatīts tas, kurš, ņemot vērā apstākļus, kuri pusēm ir zināmi vai bija pušu paredzēti jebkurā laikā līdz līguma noslēgšanai vai tā noslēgšanas brīdī, ir visciešāk saistīts ar līgumu un tā izpildi;

b) ja pusei nav uzņēmuma, tiek ņemta vērā tās pastāvīgā dzīvesvieta.

11.pants

Nav nepieciešams, lai pirkuma — pārdevuma līgums tiktu noslēgts vai apstiprināts rakstiskā formā vai lai tas pakļautos citai prasībai attiecībā uz formu. Tas var tikt pierādīts jebkuriem līdzekļiem, tai skaitā ar liecinieku liecībām.

12.pants

Jebkurš šīs Konvencijas 11.panta, 29.panta, vai II daļas noteikums, kurš pieļauj, ka pirkuma — pārdevuma līgums, tā izmainīšana vai pārtraukšana, pusēm vienojoties, vai oferte, akcepts vai jebkura cita nodoma izpausme tiktu izdarīti nevis rakstiskā, bet jebkurā formā, nav piemērojams, ja kaut vienai no pusēm ir savs uzņēmums valstī, kura ir Līgumslēdzēja valsts, bet kura izdarījusi paziņojumu, saskaņā ar šīs Konvencijas 96.pantu. Puses nevar atkāpties no šī panta vai mainīt tā darbību.

13.pants

Šīs Konvencijas mērķiem "rakstveida forma" sevī ietver telegrammu un teleksu.

II daļa. Līguma slēgšana

14.pants

1) Vienai vai vairākām konkrētām personām adresēts priekšlikums slēgt līgumu ir oferte, ja tas ir pietiekoši noteikts un izsaka oferenta apņemšanos akcepta gadījumā uzskatīt sevi par saistības uzņēmušos. Priekšlikums ir pietiekoši noteikts, ja tajā ir noteikta prece un tieši vai netieši tiek noteikts daudzums un cena, vai arī ir paredzēta kārtība to noteikšanai.

2) Priekšlikums, kurš adresēts nenoteiktam personu lokam, tiek uzskatīts tikai kā priekšlikums izdarīt ofertes, ja tikai persona, kura izdarījusi šādu priekšlikumu, nav tieši norādījusi uz ko citu.

15.pants

1) Oferte stājas spēkā ar brīdi, kad to ir saņēmis ofertes adresāts.

2) Oferents var atcelt oferti, pat, ja tā ir neatsaucama, tanī gadījumā, ja paziņojumu par atcelšanu ofertes adresāts saņēmis agrāk kā pašu oferti vai vienlaicīgi ar to.

16.pants

1) Kamēr līgums nav noslēgts, oferte var tikt atsaukta, ja ofertes adresāts paziņojumu par atsaukšanu saņem vēl pirms akcepta nosūtīšanas.

2) Tomēr oferte nevar tikt atsaukta:

a) ja ofertē, nosakot noteiktu akcepta termiņu, vai citā veidā tiek norādīts, ka tā ir neatsaucama; vai arī

b) ja ofertes adresātam bija saprātīgi iemesli uzskatīt oferti par neatsaucamu, un ofertes adresāts ir atbilstoši rīkojies.

17.pants

Oferte, pat ja tā ir neatsaucama, zaudē spēku, ja oferents saņem paziņojumu par ofertes noraidīšanu.

18.pants

1) Ofertes adresāta paziņojums vai tā citas darbības, kuras izsaka piekrišanu ofertei, ir akcepts. Klusēšana vai bezdarbība pašas par sevi nav akcepts.

2) Ofertes akcepts stājas spēkā ar brīdi, kad oferents saņēmis norādīto piekrišanu. Akcepts nav spēkā, ja oferents nesaņem piekrišanu viņa noteiktajā termiņā, vai, ja termiņš nav noteikts, tad saprātīgā termiņā, šajā gadījumā ņemot vērā darījuma apstākļus, ieskaitot oferenta izmantoto sakaru līdzekļu ātrumu. Mutiska oferte akceptējama nekavējoties, ja no apstākļiem neizriet kas cits.

3) Taču, ja saskaņā ar oferti vai arī prakses rezultātā, kuru puses noteikušas savās savstarpējās attiecībās, vai arī parašas rezultātā ofertes adresāts, nepaziņojot oferentam, var izteikt piekrišanu, izdarot kādu darbību, piemēram, izdarot darbību, kura attiecas uz preces nosūtīšanu vai cenas samaksu, akcepts stājas spēkā ar brīdi, kad tiek veikta šāda darbība, ar noteikumu, ka tā ir izdarīta iepriekšējā punktā paredzētā termiņa ietvaros.

19.pants

1) Atbilde uz oferti, kuras mērķis ir būt par akceptu, bet kura satur papildinājumus, ierobežojumus vai citas izmaiņas, ir ofertes noraidījums un rada pretoferti.

2) Taču atbilde uz oferti, kuras mērķis ir būt par akceptu, bet kura satur papildinošus vai atšķirīgus noteikumus, kuri ofertes noteikumus būtiski nemaina, rada akceptu, ja tikai oferents bez neattaisnotas kavēšanās mutiski neiebildīs pret šīm nesaskaņām vai nenosūtīs paziņojumu par to. Ja viņš to neizdarīs, tad līguma noteikumi būs tās ofertes noteikumi, kura ietver izmaiņas, kuras satur akcepts.

3) Par ofertes noteikumus būtiski mainošiem tiek uzskatīti papildus vai atšķirīgi noteikumi, kuri citu starpā attiecas uz cenu, maksājumu, preču kvalitāti un daudzumu, piegādes vietu un laiku, vienas puses atbildības apjomu otras puses priekšā vai strīdu izskatīšanu.

20.pants

1) Akcepta termiņš, kuru oferents noteicis telegrammā vai vēstulē, sākas ar brīdi, kad telegramma nodota nosūtīšanai vai arī ar vēstulē norādīto datumu, vai arī, ja šāds datums nav norādīts, ar datumu, kurš norādīts uz aploksnes. Ja akcepta termiņu oferents noteicis pa telefonu, teletaipu vai ar citu tamlīdzīgu sakaru līdzekļu palīdzību, akcepta termiņš sākas no brīža, kad oferti saņēmis tās adresāts.

2) Akcepta termiņa laikā ietilpstošie valsts svētki vai brīvdienas tiek iekļauti šī termiņa aprēķināšanā. Taču, ja paziņojums par akceptu nevar tikt nogādāts pēc oferenta adreses norādītā termiņa pēdējā dienā, sakarā ar to, ka šī diena oferenta uzņēmuma atrašanās vietā ir valsts svētki vai brīvdiena, termiņš tiek pagarināts līdz pirmajai nākošajai darba dienai.

21.pants

1) Novēlots akcepts tomēr saglabā akcepta spēku, ja oferents nevilcinoties mutiski paziņo par to ofertes adresātam vai arī nosūtīs viņam atbilstošu paziņojumu.

2) Kad no vēstules vai citāda rakstiska paziņojuma, kurš satur novēlotu akceptu, ir redzams, ka tas tika nosūtīts tādos apstākļos, ka, ja tā pārsūtīšana būtu bijusi normāla, tad tas būtu saņemts laicīgi, novēlots akcepts saglabā akcepta spēku, ja oferents bez vilcināšanās mutiski nepaziņos ofertes adresātam, ka viņš uzskata savu oferti par spēku zaudējušu, vai arī nenosūtīs viņam par to paziņojumu.

22.pants

Akcepts var tikt atcelts, ja oferents paziņojumu par atcelšanu saņēmis agrāk vai tajā pašā brīdī, kad akceptam būtu jāstājas spēkā.

23.pants

Līgums tiek uzskatīts par noslēgtu ar brīdi, kad ofertes akcepts stājas spēkā saskaņā ar šīs Konvencijas noteikumiem.

24.pants

Šīs Konvencijas II daļas mērķiem oferte, paziņojums par akceptu vai jebkura cita gribas izpausme tiek uzskatīti par adresāta "saņemtiem", kad tie darīti zināmi viņam mutiski vai nogādāti jebkurā veidā viņam personīgi, uz viņa uzņēmumu vai arī pēc viņa pasta adreses, vai arī, ja viņam nav uzņēmuma vai pasta adreses — viņa pastāvīgajā dzīves vietā.

III daļa. Preču pirkums-pārdevums

I nodaļa. Vispārīgie noteikumi

25.pants

Vienas puses pieļauts līguma noteikumu pārkāpums ir būtisks, ja tas rada otrai pusei tādu kaitējumu, ka šī otrā puse lielā mērā zaudē to, ar ko tai bija tiesības rēķināties saskaņā ar līgumu, izņemot gadījumus, kad līguma noteikumus pārkāpusī puse nebija paredzējusi tādu iznākumu, un saprātīga persona, darbojoties analoģiskos apstākļos, to nebūtu paredzējusi.

26.pants

Paziņojums par līguma laušanu ir spēkā tikai tajā gadījumā, ja tas darīts zināms otrajai pusei paziņojuma veidā.

27.pants

Ja vien šīs Konvencijas III daļā nav tieši paredzēts savādāk, gadījumā, ja puse ir sniegusi vai izdarījusi paziņojumu, pieprasījumu vai citus sūtījumus saskaņā ar šo Konvencijas daļu un ar dotajos apstākļos nepieciešamajiem līdzekļiem, aizkavēšanās vai kļūda sūtījuma pārsūtīšanā vai arī tā nenogādāšana uz paredzēto vietu neatņem šai pusei tiesības atsaukties uz savu sūtījumu.

28.pants

Ja saskaņā ar šīs Konvencijas noteikumiem vienai no pusēm ir tiesības pieprasīt no otras puses kādas saistības izpildi, tiesas pienākumos neietilpst lēmuma pieņemšana par tās konkrētu izpildi, izņemot gadījumus, kad tiesa to darītu, pamatojoties uz pašas skaidrojumu attiecībā uz analoģiskiem pirkuma — pārdevuma līgumiem, kurus šī Konvencija neregulē.

29.pants

1) Līgums var tikt mainīts vai izbeigts pušu vienkāršas vienošanās ceļā.

2) Rakstisks līgums, kurš satur noteikumu, kas pieprasa, lai jebkuras līguma izmaiņas vai tā pārtraukšana pusēm vienojoties tiktu izdarīti rakstiskā formā, nevar citādā veidā tikt mainīts vai izbeigts pusēm vienojoties. Tomēr puses rīcība var liegt tai iespēju atsaukties uz norādīto noteikumu tik lielā mērā, cik lielā mērā otra puse paļāvās uz tādu rīcību.

II nodaļa. Pārdevēja pienākumi

30.pants

Pārdevējam ir jāpiegādā prece, jānodod dokumentus, kuri attiecas uz šo preci un īpašuma tiesības uz preci atbilstoši līguma un šīs Konvencijas prasībām.

I sadaļa. Preču piegāde un dokumentu nodošana

31.pants

Ja pārdevēja pienākumos neietilpst preces piegāde kādā citā noteiktā vietā, viņa piegādes pienākumi ir sekojoši:

a) ja pirkuma — pārdevuma līgums paredz preces pārvešanu — nodot preci pirmajam pārvadātājam, nodošanai pircējam;

b) ja gadījumos, kuri nav paredzēti iepriekšējā apakšpunktā, līgums attiecas uz specifisku preci vai uz atsevišķi neizdalītu preci, kura ir jāizņem no noteiktiem krājumiem vai arī jāizgatavo vai jāsaražo, un puses līguma slēgšanas brīdī zināja to, ka prece atrodas vai arī tai jābūt izgatavotai vai saražotai noteiktā vietā — nodot preci pircēja rīcībā šajā vietā;

c) citos gadījumos — nodot preci pircēja rīcībā tai vietā, kur līguma slēgšanas brīdī atradās pārdevēja uzņēmums.

32.pants

1) Ja pārdevējs, saskaņā ar līgumu vai šo Konvenciju, nodod preci pārvadātājam un ja prece līguma mērķiem nav precīzi identificēta, to marķējot, ar iekraušanas dokumentu palīdzību vai citādā veidā, pārdevējam ir jānodod pircējam paziņojums par nosūtīšanu, norādot preci.

2) Ja pārdevēja pienākums ir nodrošināt preces pārvešanu, viņam ir jāslēdz līgumi, kuri ir nepieciešami preces pārvešanai uz piegādes vietu, izmantojot dotajos apstākļos nepieciešamos transportēšanas veidus, un uz noteikumiem, kādi ir parasti šādai transportēšanai.

3) Ja pārdevēja pienākumos neietilpst preces apdrošināšana, to transportējot, viņa pienākums ir pēc pircēja lūguma nodot tam visu esošo informāciju, kura nepieciešama pircējam šādas apdrošināšanas veikšanai.

33.pants

Pārdevējam prece jāpiegādā:

a) ja līgums nosaka vai ļauj noteikt piegādes datumu — šajā datumā;

b) ja līgums nosaka vai ļauj noteikt piegādes laika periodu — jebkurā brīdī šī perioda ietvaros, ja vien no apstākļiem neizriet, ka piegādes datumu nosaka pircējs; vai arī

c) jebkurā citā gadījumā — saprātīgā termiņā pēc līguma noslēgšanas.

34.pants

Ja pārdevēja pienākums ir nodot dokumentus, kuri attiecas uz preci, viņam tas ir jāizdara laikā, vietā un formā, kādi ir pieprasīti līgumā. Ja pārdevējs nodevis dokumentus agrāk par norādīto laiku, viņš var līdz šim laikam beigām novērst jebkuru dokumentu neatbilstību, ar noteikumu, ka, viņam realizējot šīs tiesības, pircējam netiek sagādātas nesaprātīgas neērtības vai nesaprātīgi izdevumi. Tomēr pircējam tiek saglabātas tiesības pieprasīt zaudējumu atlīdzināšanu saskaņā ar šo Konvenciju.

II sadaļa. Preces atbilstība un trešo personu tiesības

35.pants

1) Pārdevēja pienākums ir piegādāt preci, kura pēc daudzuma, kvalitātes un apraksta atbilst līguma prasībām, un kuras iepakojums atbilst līguma noteikumiem.

2) Izņemot gadījumus, kad puses vienojušās par ko citu, prece neatbilst līguma noteikumiem, ja tā:

a) nav derīga mērķiem, kuriem tāda paša apraksta prece parasti tiek izmantota;

b) nav derīga jebkuram konkrētam mērķim, par kuru pārdevējam tieši vai netieši tika paziņots līgumu slēdzot, izņemot tos gadījumus, kad no apstākļiem izriet, ka pircējs nepaļāvās vai arī viņam nebija saprātīgi paļauties uz pārdevēja kompetenci un spriedumiem;

c) nesatur tās preces īpašības, kuru pārdevējs nodevis pircējam kā paraugu vai modeli;

d) nav iepakota tādām precēm pieņemtā veidā, bet tāda neesamības gadījumā — veidā, kurš ir nepieciešams šīs preces saglabāšanai un aizsargāšanai.

3) Pārdevējs neatbild saskaņā ar iepriekšējā punkta a) — d) apakšpunktiem par jebkuru preces neatbilstību, ja līguma slēgšanas laikā pircējs zināja vai nevarēja nezināt par tādu neatbilstību.

36.pants

1) Pārdevējs atbild saskaņā ar līgumu un šo Konvenciju par jebkuru preces neatbilstību, kura pastāv brīdī, kad risks pāriet pircējam, pat, ja šī neatbilstība kļūst acīmredzama tikai vēlāk.

2) Pārdevējs tāpat atbild par jebkuru preces neatbilstību, kura rodas pēc iepriekšējā punktā norādītā brīža, un ir sekas viņa rīcībai, ar kuru viņš pārkāpis jebkuru savu saistību, ieskaitot jebkuru tās garantijas pārkāpumu, ar kuru garantēts, ka tā vai cita perioda laikā prece būs derīga parastiem mērķiem, vai arī kādam konkrētam mērķim, vai arī saglabās noteiktās īpašības un kvalitāti.

37.pants

Pirmstermiņa piegādes gadījumā pārdevējam saglabājas tiesības līdz paredzētajam piegādes datumam piegādāt preces trūkstošo daļu vai daudzumu, vai arī jaunu preci piegādātās preces vietā, ja pēdējā neatbilst līguma noteikumiem, vai arī novērst jebkuru piegādātās preces neatbilstību, ar noteikumu, ka, viņam realizējot šīs tiesības, pircējam netiks sagādātas pārmērīgas neērtības vai pārmērīgi izdevumi. Tomēr pircējs saglabā tiesības pieprasīt zaudējumu atlīdzināšanu saskaņā ar šo Konvenciju.

38.pants

1) Pircējam ir jāapskata prece vai jānodrošina tās apskate tik īsā laikā, kāds ir dotajos apstākļos praktiski iespējams.

2) Ja līgums paredz preces pārvadājumu, apskate var tikt atlikta līdz preces nogādāšanai piegādes vietā.

3) Ja piegādes vieta tiek mainīta, precei atrodoties ceļā, vai arī, ja pircējs preci pārsūta, un pie tam pircējam nebija pieņemamas iespējas to apskatīt, bet pārdevējs līguma slēgšanas laikā zināja vai tam vajadzēja zināt par šādas izmaiņas vai pārsūtīšanas iespējamību, preces apskate var tikt atlikta līdz tās nonākšanai jaunajā piegādes vietā.

39.pants

1) Pircējs zaudē tiesības atsaukties uz preces neatbilstību, ja viņš nenosūta pārdevējam paziņojumu, kurš satur datus par neatbilstības raksturu, saprātīgā termiņā pēc tam, kad pircējs to ir atklājis vai kad viņam to vajadzēja atklāt.

2) Jebkurā gadījumā pircējs zaudē tiesības atsaukties uz preces neatbilstību, ja viņš nenosūta pārdevējam paziņojumu par to ne vēlāk kā divu gadu ilga termiņa ietvaros, skaitot no datuma, kad prece tika faktiski nodota pircējam, ja vien šis termiņš nav pretrunā ar līgumā noteikto garantijas laiku.

40.pants

Pārdevējam nav tiesību atsaukties uz 38. un 39. pantu noteikumiem, ja preces neatbilstība saistīta ar faktiem, par kuriem viņš zināja vai nevarēja nezināt un kurus viņš nav atklājis pircējam.

41.pants

Pārdevēja pienākums ir piegādāt preci brīvu no jebkurām trešo personu tiesībām vai interesēm, izņemot gadījumus, kad pircējs ir piekritis pieņemt ar tādām tiesībām vai interesēm saistītu preci. Taču, ja tādas tiesības vai intereses balstās uz rūpniecisku īpašumu vai uz citu intelektuālu īpašumu, tad pārdevēja pienākumus regulē 42.pants.

42.pants

1) Pārdevēja pienākums ir piegādāt preci brīvu no jebkurām trešo personu tiesībām vai interesēm, kuras balstītas uz rūpniecisko īpašumu vai uz citu intelektuālo īpašumu, par kurām pārdevējs līguma slēgšanas brīdī zināja vai nevarēja nezināt, ar noteikumu, ka šādas tiesības vai intereses balstītas uz rūpniecisko īpašumu vai cita veida intelektuālo īpašumu:

a) pēc tās valsts likuma, kurā prece tiks atkārtoti pārdota vai citā veidā izmantota, ja līguma slēgšanas brīdī puses bija pārliecinātas, ka prece tiks atkārtoti pārdota vai citā veidā izmantota šajā valstī; vai

b) jebkurā citā gadījumā — saskaņā ar tās valsts likumu, kurā atrodas pircēja uzņēmums.

2) Pārdevēja pienākums, kurš paredzēts iepriekšējā punktā, neattiecas uz gadījumiem, kad:

a) līguma slēgšanas brīdī pircējs zināja vai nevarēja nezināt par tādām tiesībām vai interesēm; vai

b) tādas tiesības vai intereses ir sekas tam, ka pārdevējs ievērojis pircēja dotos tehniskos rasējumus, dizainu, formulas vai citus izejas datus.

43.pants

1) Pircējs zaudē tiesības atsaukties uz 41. vai 42. pantu noteikumiem, ja viņš nenosūta pārdevējam paziņojumu, kurš satur datus par trešās personas tiesību vai interešu raksturu, saprātīgā termiņā pēc tam, kad viņš uzzināja vai viņam vajadzēja uzzināt par tādām tiesībām vai interesēm.

2) Pārdevējam nav tiesību atsaukties uz iepriekšējā punkta nosacījumiem, ja viņš zināja par trešās personas tiesību vai interesi un par tādas tiesības vai intereses raksturu.

44.pants

Neskatoties uz 39.panta 1.punkta un 43.panta 1.punkta noteikumiem, pircējs var samazināt cenu atbilstoši 50.panta nosacījumiem vai arī pieprasīt zaudējumu, izņemot neiegūto labumu, atlīdzināšanu, ja viņam ir pamatots attaisnojums tam, ka viņš nav devis nepieciešamo paziņojumu.

III sadaļa. Tiesiskās aizsardzības līdzekļi gadījumā, ja pārdevējs pārkāpis līgumu

45.pants

1) Ja pārdevējs nepilda kādu no savām līguma vai šīs Konvencijas saistībām, pircējs ir tiesīgs:

a) realizēt 46.52. pantos paredzētās tiesības;

b) pieprasīt zaudējumu atlīdzināšanu, kā tas paredzēts 74.77. pantos.

2) Ja pircējs realizē savas tiesības uz citiem tiesiskās aizsardzības līdzekļiem, tas neatņem viņam tiesības pieprasīt zaudējumu atlīdzināšanu.

3) Arbitrāža vai tiesa nevar dot pārdevējam nekādu termiņa pagarinājumu, ja pircējs izmanto kādu no tiesiskās aizsardzības līdzekļiem, kurš vērsts pret līguma pārkāpumu.

46.pants

1) Pircējs var pieprasīt no pārdevēja viņa saistību izpildi, ja tikai pircējs nepielieto tiesiskās aizsardzības līdzekli, kurš nav savienojams ar šādu prasību.

2) Ja prece neatbilst līguma noteikumiem, pircējs var pieprasīt preces apmaiņu tikai gadījumā, ja šī neatbilstība veido būtisku līguma pārkāpumu, un prasība par preces apmaiņu pieteikta kopā ar paziņojumu, kurš nosūtīts saskaņā ar 39.pantu, vai arī saprātīgā termiņā pēc tā.

3) Ja prece neatbilst līguma noteikumiem, pircējs var pieprasīt no pārdevēja novērst šo neatbilstību izlabošanas ceļā, izņemot gadījumus, kad tas nebūtu saprātīgi, ņemot vērā visus apstākļus. Prasība par preces neatbilstības līguma noteikumiem novēršanu jāiesniedz kopā ar paziņojumu, kurš nosūtīts saskaņā ar 39.pantu, vai arī saprātīgā termiņā pēc tā.

47.pants

1) Pircējs var noteikt pārdevējam saprātīgi ilgu papildus termiņu viņa saistību izpildei.

2) Izņemot gadījumus, kad pircējs saņēmis no pārdevēja paziņojumu par to, ka viņš nerealizēs izpildi šādā veidā noteiktajā termiņā, pircējs šī termiņa laikā nevar izmantot nekādus tiesiskās aizsardzības līdzekļus, kas vērsti pret līguma pārkāpumu. Taču pircējs līdz ar to nezaudē tiesības pieprasīt zaudējumu atlīdzināšanu par izpildes termiņu neievērošanu.

48.pants

1) Ar noteikumu, ka tiek ievērots 49.pants, pārdevējs pat pēc piegādei noteiktā datuma var par saviem personīgajiem līdzekļiem novērst jebkuru nepilnību savu saistību izpildē, ja viņš var to izdarīt bez nepamatotas kavēšanās un nesagādājot pircējam pārmērīgas neērtības vai nedrošību attiecībā uz pircējam radušos izdevumu kompensāciju no pārdevēja puses. Tomēr pircējs saglabā tiesības pieprasīt zaudējumu atlīdzināšanu saskaņā ar šo Konvenciju.

2) Ja pārdevējs lūdz pircēju paziņot, vai viņš pieņems izpildi, un pircējs neizpilda šo lūgumu saprātīga termiņa ietvaros, pārdevējs var realizēt izpildi termiņā, kurš norādīts viņa pieprasījumā. Pircējs šī termiņa laikā nav tiesīgs izmantot tiesiskās aizsardzības līdzekli, kurš nav savienojams ar pārdevēja saistību izpildi.

3) Ja pārdevējs paziņo pircējam par to, ka viņš realizēs izpildi noteiktā termiņa ietvaros, tiek uzskatīts, ka šāds paziņojums satur arī lūgumu pircējam paziņot par savu lēmumu atbilstoši iepriekšējam punktam.

4) Pārdevēja pieprasījums vai paziņojums, saskaņā ar šī panta 2. un 3. punktiem, nav spēkā, ja pircējs tos nav saņēmis.

49.pants

1) Pircējs var paziņot par līguma laušanu:

a) ja pārdevējs nepilda kādu no savām līguma vai šajā Konvencijā paredzētajām saistībām, un tas izraisa būtisku līguma pārkāpumu; vai arī

b) preces nepiegādāšanas gadījumā, ja pārdevējs nepiegādā preci arī papildus termiņa laikā, kuru pircējs noteicis saskaņā ar 47. panta 1.punktu, vai arī paziņo, ka viņš neveiks piegādi šādā veidā noteiktajā termiņā.

2) Taču gadījumā, ja pārdevējs piegādājis preci, pircējs zaudē tiesības paziņot par līguma laušanu, ja viņš to neizdarīs:

a) attiecībā uz piegādes termiņa nokavēšanu — saprātīgā termiņā pēc tam, kad viņš uzzinājis par to, ka piegāde ir veikta;

b) attiecībā uz jebkuru citu līguma pārkāpumu, izņemot piegādes termiņa nokavēšanu — saprātīga termiņa ietvaros:

i) pēc tam, kad viņš uzzinājis vai kad viņam vajadzēja uzzināt par tādu pārkāpumu;

ii) pēc papildus termiņa izbeigšanās, kuru pircējs noteicis saskaņā ar 47.panta 1.punktu, vai pēc tam, kad pārdevējs ir paziņojis, ka viņš neizpildīs savas saistības šāda papildus termiņa ietvaros; vai arī

iii) pēc jebkura papildus termiņa izbeigšanās, kuru pārdevējs norādījis saskaņā ar 48.panta 2.punktu, vai pēc tam, kad pircējs paziņojis, ka viņš nepieņems izpildi.

50.pants

Ja prece neatbilst līguma prasībām tad, neatkarīgi no tā, vai cena jau ir nomaksāta, pircējs var samazināt cenu tādā pašā proporcijā, kādā vērtība, kura piegādātajai precei faktiski bija piegādes brīdī, attiecas pret vērtību, kura precei tajā brīdī būtu bijusi, ja prece atbilstu līguma prasībām. Taču, ja pārdevējs novērš nepilnības savu saistību izpildē saskaņā ar 37. vai 48. pantiem, vai arī, ja pircējs atsakās pieņemt izpildi no pārdevēja puses saskaņā ar šiem pantiem, pircējs nevar samazināt cenu.

51.pants

1) Ja pārdevējs piegādā tikai preces daļu vai ja tikai preces daļa atbilst līguma prasībām, 46.50.panti tiek piemēroti attiecībā uz trūkstošo daļu vai daļu, kura neatbilst līguma prasībām.

2) Pircējs var paziņot par līguma laušanu kopumā tikai tajā gadījumā, ja piegādes pilnīga neizpildīšana vai preces neatbilstība līguma prasībām veido būtisku līguma pārkāpumu.

52.pants

1) Ja pārdevējs piegādā preci pirms noteiktā datuma, pircējs var pieņemt piegādi vai atteikties no tās pieņemšanas.

2) Ja pārdevējs piegādā lielāku preces daudzumu, nekā paredzēts līgumā, pircējs var pieņemt piegādi vai atteikties no piegādes liekā daudzuma pieņemšanas. Ja pircējs pieņem visu vai daļu no liekās piegādes daudzuma, viņam jāmaksā par to pēc līguma likmes.

III nodaļa. Pircēja pienākumi

53.pants

Pircējam pienākums ir samaksāt cenu par preci un pieņemt preces piegādi atbilstoši līguma un šīs Konvencijas prasībām.

I sadaļa. Cenas apmaksa

54.pants

Pircēja pienākums apmaksāt cenu ietver tādu pasākumu veikšanu un tādu formalitāšu ievērošanu, kuras var tikt prasītas saskaņā ar līgumu vai saskaņā ar likumiem un noteikumiem, lai darītu iespējamu maksājuma izdarīšanu.

55.pants

Tajos gadījumos, kad līgums tika noslēgts juridiski pareizā veidā, bet tajā tieši vai netieši nav noteikta cena vai nav paredzēta tās noteikšanas kārtība, tiek uzskatīts, ka puses, ja nav nekādas norādes uz ko citu, ir domājušas atsauksmi uz cenu, kura līguma slēgšanas brīdī parasti tika ņemta par tādām precēm, kuras tika pārdotas līdzīgos apstākļos atbilstošā tirdzniecības nozarē.

56.pants

Ja cena noteikta atkarībā no preces svara, tad šaubu gadījumā tā tiek aprēķināta pēc neto svara.

57.pants

1) Ja pircēja pienākums nav samaksāt cenu kādā citā noteiktā vietā, viņam tā jāsamaksā pārdevējam:

a) pārdevēja uzņēmuma atrašanās vietā; vai arī

b) ja maksājums jāizdara pret preces vai dokumentu nodošanu — to nodošanas vietā.

2) Maksājumu izdevumu palielināšanos, kuru radījusi pārdevēja uzņēmuma atrašanās vietas maiņa, kura notikusi pēc līguma slēgšanas, sedz pārdevējs.

58.pants

1) Ja pircēja pienākums nav samaksāt cenu kādā citā konkrētā termiņā, viņam tā jāsamaksā, kad pārdevējs saskaņā ar līgumu un šo Konvenciju nodod vai nu pašu preci, vai nu dokumentus, kuri attiecas uz preci pircēja rīcībā. Pārdevējs var noteikt, ka preces vai dokumentu nodošana notiek tikai pēc šāda maksājuma izdarīšanas.

2) Ja līgums paredz preces pārvadājumu, pārdevējs var to nosūtīt saskaņā ar noteikumiem, saskaņā ar kuriem prece vai dokumenti, kuri attiecas uz preci, netiks nodoti pircējam citādi, kā pret cenas samaksu.

3) Pircēja pienākums nav samaksāt cenu līdz tam laikam, kamēr viņam nav radusies iespēja apskatīt preci, izņemot gadījumus, kad pušu saskaņotā piegādes vai maksājuma kārtība nav savienojama ar šādas iespējas gaidīšanu.

59.pants

Pircēja pienākums ir samaksāt cenu tai dienā, kurā noteikts vai var būt noteikts saskaņā ar līgumu un šo Konvenciju, bez jebkāda pieprasījuma vai jebkādu formalitāšu izpildes no pārdevēja puses.

II sadaļa. Piegādes pieņemšana

60.pants

Pircēja pienākums pieņemt piegādi sevī ietver:

a) visu darbību veikšanu no viņa puses, kuras varētu no viņa saprātīgi sagaidīt, lai dotu iespēju pārdevējam realizēt piegādi, un

b) preces pieņemšanu.

III sadaļa. Tiesiskās aizsardzības līdzekļi, ja pircējs pārkāpis līgumu

61.pants

1) Ja pircējs nepilda kādu no savām saistībām saskaņā ar līgumu vai šo Konvenciju, pārdevējs var:

a) realizēt 62.65. pantos paredzētās tiesības;

b) pieprasīt zaudējumu atlīdzināšanu, kā tas paredzēts 74.77. pantos.

2) Ja pārdevējs realizē savas tiesības ar citiem tiesiskās aizsardzības līdzekļiem, tas neatņem viņam tiesības pieprasīt zaudējumu atlīdzināšanu.

3) Tiesa vai arbitrāža nevar piešķirt pircējam nekādu termiņa pagarinājumu, ja pārdevējs pielieto kādu tiesiskās aizsardzības līdzekli, kas vērsts pret līguma pārkāpumu.

62.pants

Pārdevējs var pieprasīt no pircēja cenas samaksu, piegādes pieņemšanu vai citu viņa saistību izpildi, ja tikai pārdevējs nav ķēries pie tāda tiesiskā aizsardzības līdzekļa pielietošanas, kurš nav savienojams ar šādu prasību.

63.pants

1) Pārdevējs var noteikt saprātīga ilguma papildus termiņu pircējam viņa saistību izpildei.

2) Izņemot gadījumus, kad pārdevējs ir saņēmis pircēja paziņojumu par to, ka viņš nepildīs savas saistības tādā veidā noteiktajā termiņā, pārdevējs nevar šī termiņa laikā pielietot jebkādus tiesiskās aizsardzības līdzekļus, kas vērsti pret līguma pārkāpumu. Tomēr pārdevējs līdz ar to nezaudē tiesības pieprasīt zaudējumu atlīdzināšanu par izpildes termiņa pagarināšanu.

64.pants

1) Pārdevējs var paziņot par līguma laušanu:

a) ja saskaņā ar līgumu vai šo Konvenciju jebkuras pircēja saistības neizpildīšana no pircēja puses ir būtisks līguma pārkāpums; vai arī

b) ja pircējs papildus termiņa laikā, kuru pārdevējs noteicis saskaņā ar 63.panta 1.punktu, neizpilda savu saistību samaksāt cenu vai pieņemt preces piegādi, vai paziņo par to, ka viņš to neizdarīs šādā veidā noteikta termiņa ietvaros.

2) Taču gadījumos, kad pircējs ir samaksājis cenu, pārdevējs zaudē tiesības paziņot par līguma laušanu, ja vien viņš to neizdarīs:

a) attiecībā uz pircēja nokavēto izpildes termiņu — līdz tam, kad pārdevējs uzzinājis par notikušo izpildi; vai arī

b) attiecībā uz jebkuru citu līguma pārkāpumu, neskaitot izpildes termiņa nokavējumu — saprātīga termiņa ietvaros:

i) pēc tam, kad pārdevējs uzzinājis vai viņam vajadzēja uzzināt par šādu pārkāpumu; vai arī

ii) pēc papildus termiņa izbeigšanās, kuru pārdevējs noteicis, saskaņā ar 63.panta 1.punktu, vai pēc tam, kad pircējs ir paziņojis, ka neizpildīs savas saistības šāda papildus termiņa ietvaros.

65.pants

1) Ja saskaņā ar līgumu pircēja pienākums ir noteikt formu, izmērus vai citus preci raksturojošos datus un ja viņš to neizdara laikā, par kuru puses vienojušās, vai arī saprātīgā laikā pēc pārdevēja pieprasījuma saņemšanas, pēdējais var, nekaitējot jebkurām citām tiesībām, kuras var tam būt, pats to veikt saskaņā ar tām pircēja prasībām, kuras var būt zināmas pārdevējam.

2) Ja pārdevējs pats sastāda specifikāciju, viņa pienākums ir sīki informēt pircēju par tās saturu un noteikt saprātīgu termiņu, kura laikā pircējs var sastādīt citu specifikāciju. Ja, pēc pārdevēja paziņojuma saņemšanas, pircējs to neizdarīs šādā veidā noteiktajā laikā, specifikācija, kuru sastādījis pārdevējs, kļūs obligāta.

IV nodaļa. Riska pāreja

66.pants

Preces nozaudēšana vai bojājums pēc tam, kad risks pārgājis pircējam, neatbrīvo viņu no pienākuma samaksāt cenu, ja tikai nozaudēšana vai bojājums nebija pārdevēja darbību vai nolaidības izraisīti.

67.pants

1) Ja pirkuma-pārdevuma līgums paredz preces pārvešanu un pārdevējam pienākums nav nodot to kādā noteiktā vietā, risks pāriet pircējam, kad prece nodota pirmajam pārvadātājam preces nodošanai pircējam atbilstoši pirkuma — pārdevuma līgumam. Ja pārdevēja pienākums ir nodot preci pārvadātājam kādā noteiktā vietā, risks nepāriet pircējam, kamēr prece nav nodota pārvadātājam šajā vietā. Tas apstāklis, ka pārdevējs ir pilnvarots paturēt uz preci attiecošos dokumentus, neietekmē riska pāreju.

2) Neskatoties uz to, risks nepāriet pircējam, kamēr prece dotā līguma mērķiem nav precīzi identificēta, to marķējot, ar iekraušanas dokumentu palīdzību, ar pircējam nosūtītu paziņojumu vai citādā veidā.

68.pants

Pircējs uzņemas risku par preci, kura pārdota tai atrodoties ceļā, no līguma noslēgšanas brīža. Tomēr, ja apstākļi uz to norāda, pircējs uzņemas risku no brīža, kad prece nodota pārvadātājam, kurš izdevis pārvadājuma līgumu apstiprinošus dokumentus. Taču, ja pirkuma — pārdevuma līguma slēgšanas brīdī pārdevējs zināja vai viņam vajadzēja zināt, ka prece ir nozaudēta vai bojāta, un viņš par to nepaziņoja pircējam, tāds nozaudējums vai bojājums ietilpst pārdevēja riskā.

69.pants

1) Gadījumos, uz kuriem neattiecas 67. un 68. pantu noteikumi, risks pāriet pircējam brīdī, kad viņš ir pieņēmis preci, vai, ja viņš to nedara noteiktajā laikā, no brīža, kad prece nodota viņa rīcībā un viņš pieļauj līguma pārkāpumu, nepieņemot piegādi.

2) Taču, ja pircēja pienākums ir pieņemt preci ne tajā vietā, kur atrodas pārdevēja uzņēmums, bet kādā citā vietā, risks pāriet, kad iestājies piegādes termiņš un pircējam ir darīts zināms, ka prece nodota viņa rīcībā šajā vietā.

3) Ja līgums attiecas uz vēl neidentificētu preci, tiek uzskatīts, ka prece nav nodota pircēja rīcībā, kamēr tā šī līguma mērķiem nav skaidri identificēta.

70.pants

Ja pārdevējs pieļāvis būtisku līguma pārkāpumu, 67.,68. un 69.pantu noteikumi neietekmē sakarā ar tādu pārkāpumu pircēja rīcībā esošos tiesiskās aizsardzības līdzekļus.

V nodaļa. Noteikumi, kuri kopēji pircēja un pārdevēja saistībām

I sadaļa. Paredzamais līguma pārkāpums un līgumi preču piegādei atsevišķās daļās

71.pants

1) Puse var apturēt savu saistību izpildi, ja pēc līguma noslēgšanas kļūst redzams, ka otra puse neizpildīs ievērojamu daļu no savām saistībām:

a) tādēļ, ka puse nespēj izpildīt saistības vai nespēj maksāt; vai arī

b) puses rīcības rezultātā, sagatavojot izpildi vai realizējot līguma izpildi.

2) Ja pārdevējs jau ir nosūtījis preci pirms iepriekšējā punktā minēto iemeslu atklāšanās, viņš var nepieļaut preces nodošanu pircējam, pat ja pircēja rīcībā ir dokuments, kurš dod viņam tiesības saņemt preci. Šis punkts attiecas tikai uz tiesībām uz preci attiecībās starp pircēju un pārdevēju.

3) Pusei, kura aptur izpildi, neatkarīgi no tā, vai tas tiek darīts līdz vai pēc preces nosūtīšanas, ir nekavējoties jānosūta paziņojums par to otrajai pusei un jāturpina izpilde, ja otra puse uzrāda pietiekošas garantijas savu saistību izpildei.

72.pants

1) Ja pirms noteiktā līguma izpildes datuma kļūst skaidrs, ka viena no pusēm izdarīs būtisku līguma pārkāpumu, otra puse var paziņot par līguma laušanu.

2) Ja laiks atļauj, pusei, kura ir nolēmusi paziņot par līguma laušanu, ir jānosūta pamatots paziņojums otrajai pusei, lai dotu viņai iespēju uzrādīt pietiekošas garantijas savu saistību izpildei.

3) Iepriekšējā punkta prasības nav piemērojamas, ja otra puse paziņojusi, ka tā nepildīs savas saistības.

73.pants

1) Ja, gadījumā, kad līgums paredz preces piegādi atsevišķās daļās, viena no pusēm nepilda kādas savas saistības attiecībā uz jebkuru preču piegādes daļu, un šī nepildīšana rada būtisku līguma pārkāpumu attiecībā uz šo daļu, otra puse var paziņot par līguma laušanu attiecībā uz šo preču piegādes daļu.

2) Ja viena puse nepilda kādu no savām saistībām attiecībā uz jebkuru preču piegādes daļu, un tas dod otrai pusei pamatotus iemeslus uzskatīt, ka līguma būtisks pārkāpums tiks izdarīts attiecībā uz nākošajām preču piegādes daļām, viņa var paziņot par līguma laušanu nākotnē, ar noteikumu, ka viņa to izdarīs saprātīgā termiņā.

3) Pircējs, kurš paziņo par līguma laušanu attiecībā uz kādu preces piegādes daļu, var vienlaicīgi paziņot par tā laušanu attiecībā uz jau piegādātām vai vēl piegādājamām daļām, ja to savstarpējās saiknes rezultātā tās nevar tikt izmantotas mērķim, kuru puses bija paredzējušas līguma slēgšanas brīdī.

II sadaļa. Zaudējumi

74.pants

Zaudējumi, kuri rodas pusei neievērojot līgumu, sastāv no summas, kura ir vienāda ar tiem zaudējumiem, ieskaitot neiegūto labumu, kuri radušies, otrajai pusei pārkāpjot līgumu. Tādi zaudējumi nedrīkst pārsniegt zaudējumus, kurus līgumu pārkāpusī puse līguma slēgšanas brīdī paredzējusi vai kurus tai vajadzēja paredzēt kā iespējamās sekas līguma pārkāpumam, ņemot vērā apstākļus, par kuriem viņa tai laikā zināja vai par kuriem viņai vajadzēja zināt.

75.pants

Ja līgums ir lauzts un ja saprātīgā veidā un saprātīgā termiņā pēc laušanas pircējs ir nopircis citu preci vietā vai pārdevējs pārdevis preci, puse, kura pieprasa zaudējumu atlīdzināšanu, var piedzīt starpību starp līguma cenu un cenu pēc vietā izdarītā darījuma, kā arī jebkurus papildus zaudējumus, kuri var tikt piedzīti, pamatojoties uz 74.pantu.

76.pants

1) Ja līgums ir lauzts un ja eksistē pašreizējā cena dotajai precei, puse, kura pieprasa zaudējumu atlīdzināšanu, ja tā nav veikusi iepirkumu vai pārdošanu citam saskaņā ar 75.pantu, var pieprasīt starpības starp cenu, kura noteikta līgumā, un cenu uz līguma laušanas brīdi, kā arī jebkuru papildus zaudējumu atlīdzināšanu, kuri var tikt piedzīti, pamatojoties uz 74.pantu. Taču, ja puse, kura pieprasa zaudējumu atlīdzināšanu, lauzusi līgumu pēc preces pieņemšanas, cenas uz līguma laušanas brīdi vietā tiek piemērota cena uz pieņemšanas brīdi.

2) Iepriekšējā punkta mērķiem patreizējā cena ir cena, kura pārsvarā eksistē tai vietā, kurā bija jāveic piegāde, vai, ja šajā vietā neeksistē patreizējās cenas, cena tādā citā vietā, kura kalpo par saprātīgu aizstājēju, ņemot vērā preces transportēšanas izdevumu starpību.

77.pants

Pusei, kura atsaucas uz līguma pārkāpumu, jāveic tādi pasākumi, kuri dotajos apstākļos ir saprātīgi zaudējumu, ieskaitot neiegūto labumu, samazināšanai, kuri ir radušies līguma pārkāpuma rezultātā. Ja viņa neveic tādus pasākumus, tad līgumu pārkāpusī puse var pieprasīt atlīdzināmo zaudējumu samazināšanu par summu, par kādu tie varēja tikt samazināti.

III sadaļa. Procenti

78.pants

Ja puse pieļāvusi termiņa nokavējumu cenas vai citas summas samaksā, otrai pusei ir tiesības uz procentiem no šīs summas, nekaitējot jebkurai prasībai par zaudējumu atlīdzināšanu, kuri var tikt piedzīti, pamatojoties uz 74.pantu.

IV sadaļa. Atbrīvošana no atbildības

79.pants

1) Puse neatbild par jebkuras savas saistības neizpildīšanu, ja pierādīts, ka tā bija tāda šķēršļa radīta, kuru puse nespēj kontrolēt, un, ka no puses saprātīgi nevarēja gaidīt šī šķēršļa ņemšanu vērā līgumu slēdzot vai izvairīšanos no šī šķēršļa, vai šķēršļa, vai tā seku pārvarēšanu.

2) Ja puse nav izpildījusi savu saistību sakarā ar to, ka izpildi nav veikusi trešā persona, kuru viņa iesaistījusi visa līguma vai tā daļas izpildē, šī puse tiek atbrīvota no atbildības tikai tajā gadījumā, ja:

a) viņa tiek atbrīvota no atbildības saskaņā ar iepriekšējo punktu; un

b) viņas iesaistītā persona tāpat būtu tikusi atbrīvota no atbildības, ja norādītā punkta noteikumi tiktu piemēroti attiecībā uz šo personu.

3) Atbrīvošana no atbildības, kuru paredz šis pants, ir attiecināma tikai uz to periodu, kura laikā pastāv dotais šķērslis.

4) Pusei, kura neizpilda savu saistību, ir jānosūta paziņojums otrajai pusei par šķērsli un tā ietekmi uz puses spēju veikt izpildi. Ja otra puse nav saņēmusi šo paziņojumu saprātīgā termiņā pēc tam, kad par šo šķērsli kļuva vai vajadzēja kļūt zināmam pusei, kura nepilda savu saistību, pēdējā puse atbild par zaudējumiem, kuri ir sekas tam, ka šāds paziņojums netika saņemts.

5) Nekas šajā pantā neliedz katrai no pusēm realizēt jebkuras tiesības, citādas nekā pieprasījums atlīdzināt zaudējumus saskaņā ar šo Konvenciju.

80.pants

Puse nevar atsaukties uz otras puses saistību neizpildīšanu tik lielā mērā, cik šo neizpildīšanu izraisījusi pirmās puses darbība vai bezdarbība.

V sadaļa. Līguma laušanas sekas

81.pants

1) Līguma laušana atbrīvo abas puses no to saistībām saskaņā ar līgumu, saglabājot tiesības piedzīt zaudējumus, kurus iespējams atlīdzināt. Līguma laušana neskar nekādus līguma noteikumus, kuri attiecas uz strīdu izšķiršanas kārtību vai pušu tiesībām un pienākumiem līguma laušanas gadījumā.

2) Puse, kura līgumu izpildījusi pilnīgi vai daļēji, var pieprasīt otrai pusei visa tā atgriešanu, ko pirmā puse ir piegādājusi vai samaksājusi saskaņā ar līgumu. Ja abām pusēm jārealizē saņemtā atgriešana, viņām tas ir jādara vienlaicīgi.

82.pants

1) Pircējs zaudē tiesības paziņot par līguma laušanu vai pieprasīt no pārdevēja preces apmainīšanu, ja pircējs nespēj atgriezt preci pēc būtības tādā pašā stāvoklī, kādā viņš to ir saņēmis.

2) Iepriekšējais punkts netiek piemērots:

a) ja neiespējamību atgriezt preci vai atgriezt preci pēc būtības tādā pašā stāvoklī, kādā pircējs to saņēmis, nav izraisījusi viņa darbība vai bezdarbība; vai arī

b) ja prece vai preces daļa kļuvuši nelietojami vai sabojājušies apskates rezultātā, kura paredzēta 38.pantā; vai arī

c) ja pircējs preci vai tās daļu pārdevis normālas tirdzniecības gaitā vai izlietojis, vai pārtaisījis normālas lietošanas gaitā līdz tam, pirms viņš pamanīja vai viņam vajadzēja pamanīt preces neatbilstību līgumam.

83.pants

Pircējs, kurš zaudējis tiesības paziņot par līguma laušanu vai pieprasīt no pārdevēja preces apmainīšanu saskaņā ar 82.pantu, saglabā tiesības uz visiem pārējiem tiesiskās aizsardzības līdzekļiem, kurus paredz līgums un šī Konvencija.

84.pants

1) Ja pārdevēja pienākums ir atmaksāt cenu, viņam tāpat ir jāsamaksā procenti par to, skaitot no cenas samaksas datuma.

2) Pircējam ir jānodod pārdevējam visi ienākumi, kurus pircējs ir guvis no preces vai tās daļas:

a) ja viņa pienākums ir atgriezt preci pilnībā vai daļēji; vai arī

b) ja viņš nespēj atgriezt preci pilnībā vai daļēji, vai atgriezt preci pilnībā vai daļēji pēc būtības tai pašā stāvoklī, kurā viņš to ir saņēmis, bet viņš tomēr ir paziņojis par līguma laušanu vai ir pieprasījis no pārdevēja preces apmaiņu.

VI sadaļa. Preces saglabāšana

85.pants

Ja pircējs pieļauj termiņa nokavējumu piegādes pieņemšanā vai, tajos gadījumos, kad cenas samaksai un preces piegādei jānotiek vienlaicīgi, ja pircējs nesamaksā cenu, bet prece vai nu atrodas pārdevēja valdījumā, vai pārdevējs ir spējīgs citādā veidā kontrolēt tās valdījumu, pārdevējam ir jāveic tādi pasākumi, kādi dotajos apstākļos būtu saprātīgi preces saglabāšanai. Viņam ir tiesības aizturēt preci, kamēr pircējs nekompensēs viņa pamatotus izdevumus.

86.pants

1) Ja pircējs ir saņēmis preci un domā realizēt tiesības atteikties no tās, pamatojoties uz līgumu vai uz šo Konvenciju, viņam jāveic tādi pasākumi, kādi dotajos apstākļos būtu saprātīgi preces saglabāšanai. Viņam ir tiesības aizturēt preci, kamēr pārdevējs nekompensēs viņa pamatotus izdevumus.

2) Ja pircējam nosūtītā prece tika nodota viņa rīcībā piegādei paredzētajā vietā un viņš realizē tiesības atteikties no tās, pircēja pienākums ir sākt preces valdīšanu pārdevēja vārdā ar noteikumu, ka tas var tikt izdarīts bez cenas samaksas un bez pārmērīgām neērtībām un pārmērīgiem izdevumiem. Dotie noteikumi netiek piemēroti gadījumā, ja pārdevējs vai persona, kas pilnvarota saņemt preci viņa vārdā, atrodas preces piegādei paredzētajā vietā. Ja pircējs sāk valdīt preci, pamatojoties uz šo punktu, viņa tiesības un pienākumus regulē iepriekšējā punkta noteikumi.

87.pants

Puse, kurai jāveic pasākumi preces saglabāšanai, var to nodot trešās personas noliktavā uz otras puses rēķina, ja tikai ar to saistītie izdevumi nav nesaprātīgi.

88.pants

1) Puse, kuras pienākums ir veikt pasākumus preces saglabāšanai saskaņā ar 85. un 86. pantiem, var to pārdot jebkurā pienācīgā veidā, ja otra puse nesaprātīgi kavējusies sākt valdīt preci vai pieņemt to atpakaļ, vai samaksāt cenu vai saglabāšanas izdevumus, ar noteikumu, ka otrai pusei tika nosūtīts saprātīgs paziņojums par apņemšanos pārdot preci.

2) Ja prece ātri bojājas vai ja tās saglabāšana rada pārmērīgus zaudējumus, pusei, kurai jāsaglabā prece saskaņā ar 85. un 86. pantiem, ir jāveic saprātīgi pasākumi tās pārdošanai. Viņai iespēju robežās jānosūta otrajai pusei paziņojums par savu apņemšanos veikt pārdošanu.

3) Pusei, kura pārdod preci, ir tiesības ieturēt no pārdošanā iegūtās summas to daļu, kura ir vienāda ar pamatotiem izdevumiem par preces saglabāšanu un pārdošanu. Atlikums viņai ir jānodod otrajai pusei.

IV daļa. Nobeiguma noteikumi

89.pants

Par šīs Konvencijas depozitāriju tiek iecelts Apvienoto Nāciju Organizācijas Ģenerālsekretārs.

90.pants

Šī Konvencija nav prioritāra pār jebkuru starptautisku nolīgumu, kurš jau ir noslēgts vai var tikt noslēgts, un kurš satur noteikumus jautājumos, kuri ir šīs Konvencijas regulēšanas priekšmets, ar noteikumu, ka pusēm pieder to uzņēmumi, valstīs — šāda nolīguma dalībniecēs.

91.pants

1) Šī Konvencija atvērta parakstīšanai Apvienoto Nāciju Organizācijas Starptautiskā preču pirkuma — pārdevuma līguma konferences noslēguma sēdē; tā paliks atklāta parakstīšanai visām valstīm Apvienoto Nāciju Organizācijas Galvenajā mītnē Ņujorkā līdz 1981.gada 30.septembrim.

2) Šo Konvenciju parakstījušajām valstīm tā ir jāratificē, jāpieņem vai jāapstiprina.

3) Šī Konvencija ir atklāta pievienošanās mērķim visām valstīm, kuras to nav parakstījušas, sākot ar datumu, kad tā tiek atklāta parakstīšanai.

4) Ratifikācijas raksti, pieņemšanas, apstiprināšanas un pievienošanās dokumenti tiek nodoti glabāšanā Apvienoto Nāciju Ģenerālsekretāram.

92.pants

1) Līgumslēdzējas valsts parakstīšanas, ratifikācijas, pieņemšanas apstiprināšanas vai pievienošanās laikā var paziņot, ka šīs Konvencijas II daļa nebūs viņai saistoša vai ka šīs Konvencijas III daļa nebūs viņai saistoša.

2) Līgumslēdzēja valsts, kura saskaņā ar iepriekšējo punktu izdarījusi paziņojumu attiecībā uz šīs Konvencijas II un III daļām, netiek uzskatīta par Līgumslēdzēju valsti saskaņā ar šīs Konvencijas 1.panta 1.punktu attiecībā uz jautājumiem, kuri tiek regulēti tajā Konvencijas daļā, uz kuru ir attiecināms šis paziņojums.

93.pants

1) Ja Līgumslēdzēja valsts sastāv no divām vai vairākām teritoriālām vienībām, kurās, atbilstoši tās konstitūcijai, tiek piemērotas dažādas tiesību sistēmas jautājumos, kuri ir šīs Konvencijas regulēšanas priekšmets, tad tā parakstīšanas, ratifikācijas, pieņemšanas, apstiprināšanas vai pievienošanās brīdī var paziņot, ka šī Konvencija tiek attiecināta uz visām tās teritoriālajām vienībām vai tikai uz vienu vai vairākām no tām, un var izmainīt savu paziņojumu, izdarot citu paziņojumu jebkurā laikā.

2) Šie paziņojumi tiek darīti zināmi depozitārijam, un tajos jābūt skaidri norādītām tām teritoriālajām vienībām, uz kurām tiek attiecināta Konvencija.

3) Ja saskaņā ar paziņojumu, kurš izdarīts saskaņā ar šo pantu, šī Konvencija tiek attiecināta uz vienu vai vairākām teritoriālajām vienībām, bet ne uz visām Līgumslēdzējas valsts teritoriālajām vienībām un ja puses uzņēmums atrodas šajā valstī, tad šīs Konvencijas mērķiem tiek uzskatīts, ka šis uzņēmums neatrodas tādā Līgumslēdzējā valstī, ja tikai tas neatrodas teritoriālajā vienībā, uz kuru tiek attiecināta šī Konvencija.

4) Ja Līgumslēdzēja valsts neizdara paziņojumu saskaņā ar šī panta 1.punktu, Konvencija tiek attiecināta uz visām šīs valsts teritoriālajām vienībām.

94.pants

1) Divas un vairākas Līgumslēdzējas valstis, kuras piemēro analoģiskas vai līdzīgas tiesību normas jautājumos, kurus regulē šī Konvencija, var jebkurā laikā paziņot par Konvencijas nepiemērojamību pirkuma — pārdevuma līgumiem vai to slēgšanai gadījumos, kad pušu komerciālie uzņēmumi atrodas šajās valstīs. Šādi paziņojumi var tikt izdarīti kopīgi vai abām pusēm izdarot vienpusējus paziņojumus uz savstarpējības pamata.

2) Līgumslēdzēja valsts, kura jautājumos, kurus regulē šī Konvencija, piemēro tiesību normas, kuras ir analoģiskas vai līdzīgas vienas vai vairāku valstu tiesību normām, kuras nav šīs Konvencijas dalībnieces, var jebkurā laikā paziņot par Konvencijas nepiemērošanu pirkuma — pārdevuma līgumiem vai to slēgšanai gadījumos, kad pušu uzņēmumi atrodas šajās valstīs.

3) Ja valsts, attiecībā uz kuru tiek izdarīts paziņojums saskaņā ar iepriekšējo punktu, vēlāk kļūst par Līgumslēdzēju valsti, tad izdarītais paziņojums ar datumu, kurā šī Konvencija stājas spēkā attiecībā uz šo jauno Līgumslēdzēju valsti, iegūst tāda paziņojuma spēku, kurš izdarīts saskaņā ar 1.punktu, ar noteikumu, ka šī jaunā Līgumslēdzēja valsts pievienojas šādam paziņojumam vai izdara vienpusēju paziņojumu uz savstarpējības pamata.

95.pants

Jebkura valsts, nododot glabāšanā savu ratifikācijas, pieņemšanas, apstiprināšanas vai pievienošanās dokumentu, var paziņot, ka tā netiks saistīta ar šīs Konvencijas 1.panta 1.punkta b. apakšpunkta noteikumiem.

96.pants

Līgumslēdzēja valsts, kuras likumdošana prasa, lai pirkuma — pārdevuma līgumi tiktu slēgti vai apstiprināti rakstveidā, var jebkurā laikā izdarīt paziņojumu saskaņā ar 12.pantu par to, ka jebkurš šīs Konvencijas 11., 29. panta vai II daļas noteikums, kurš pieļauj, lai pirkuma — pārdevuma līgums, tā izmainīšana vai izbeigšana pusēm vienojoties vai oferte, akcepts vai jebkura cita gribas izpausme tiktu izdarīti nevis rakstveidā, bet jebkurā formā, nav pieņemams, ja kaut vienai no pusēm ir savs uzņēmums šajā valstī.

97.pants

1) Saskaņā ar šo Konvenciju izdarītie paziņojumi, kuri izdarīti parakstīšanas laikā, ir jāapstiprina ratifikācijas, pieņemšanas vai apstiprināšanas laikā.

2) Paziņojumi un paziņojumu apstiprinājumi tiek izdarīti rakstveida formā, un par tiem tiek oficiāli darīts zināms depozitārijam.

3) Paziņojums stājas spēkā vienlaicīgi ar šīs Konvencijas stāšanos spēkā attiecībā uz attiecīgo valsti. Taču paziņojums, par kuru oficiālo ziņojumu depozitārijs saņem pēc šādas spēkā stāšanās, stājas spēkā tā mēneša pirmajā dienā, kurš seko pēc sešu mēnešu notecēšanas pēc datuma, kurā to ir saņēmis depozitārijs. Vienpusēji paziņojumi, kas izdarīti uz savstarpējības pamata, un kuri izdarīti saskaņā ar 94.pantu, stājas spēkā tā mēneša pirmajā dienā, kurš seko pēc sešu mēnešu notecēšanas pēc datuma, kurā depozitārijs ir saņēmis pēdējo paziņojumu.

4) Jebkura valsts, kura ir izdarījusi paziņojumu saskaņā ar šo Konvenciju, var atsaukt to jebkurā laikā ar oficiāla rakstiska ziņojuma palīdzību, kas adresēts depozitārijam. Tāds atteikums stājas spēkā tā mēneša pirmajā dienā, kurš seko pēc sešu mēnešu notecēšanas pēc datuma, kurā depozitārijs saņēmis šo ziņojumu.

5) Paziņojuma atsaukums, kas izdarīts saskaņā ar 94.pantu, ar šāda atsaukuma spēkā stāšanās datumu rada arī jebkura savstarpēja paziņojuma darbības izbeigšanos, kuru cita valsts izdarījusi saskaņā ar šo pantu.

98.pants

Nav pieļaujamas nekādas atrunas, izņemot tās, kuras ir tieši paredzētas šajā Konvencijā.

99.pants

1) Šī Konvencija stājas spēkā, ja tiek ievēroti šī panta 6.punkta noteikumi, tā mēneša pirmajā dienā, kurš seko pēc divpadsmit mēnešu notecēšanas pēc datuma, kurā ir nodots glabāšanā desmitais ratifikācijas, pieņemšanas, apstiprināšanas vai pievienošanās dokuments, ieskaitot dokumentu, kurš satur paziņojumu, kas izdarīts saskaņā ar 92.pantu.

2) Ja valsts ratificē, pieņem, apstiprina šo Konvenciju vai pievienojas tai pēc desmitā ratifikācijas, pieņemšanas, apstiprināšanas vai pievienošanās dokumenta nodošanas glabāšanā, šī Konvencija, izņemot nepieņemto daļu, stājas spēkā attiecībā uz doto valsti ar noteikumu, ka tiek ievēroti šī panta 6.punkta noteikumi, tā mēneša pirmajā dienā, kurš seko pēc divpadsmit mēnešu notecēšanas pēc datuma, kurā nodots glabāšanā tās ratifikācijas, pieņemšanas, apstiprināšanas vai pievienošanās dokuments.

3) Valsts, kura ratificē, pieņem, apstiprina šo Konvenciju vai pievienojas tai un kura ir Konvencijas par vienoto likumu par preču starptautiskā pirkuma — pārdevuma līgumu slēgšanu, kura tika pieņemta 1964.gada 1.jūlijā Hāgā (1964.gada Hāgas konvencija par līguma slēgšanu), dalībniece vai Konvencijas par vienoto likumu par starptautisko preču pirkumu — pārdevumu, kura pieņemta 1964.gada 1.jūlijā Hāgā ( 1964.gada Hāgas konvencija par pirkumu — pārdevumu), dalībniece, vai abu šo konvenciju dalībniece, vienlaicīgi denonsē, atkarībā no apstākļiem, vienu vai abas Hāgas konvencijas — 1964.gada Hāgas konvenciju par pirkumu — pārdevumu un 1964.gada Hāgas konvenciju par līgumu slēgšanu, darot to zināmu Nīderlandes valdībai.

4) Valsts — 1964.gada Hāgas konvencijas par pirkumu — pārdevumu dalībniece, kura ratificē, pieņem, apstiprina šo Konvenciju vai pievienojas tai un saskaņā ar 92.pantu izdara vai ir jau izdarījusi paziņojumu par to, ka šīs Konvencijas II daļa nebūs viņai saistoša, ratificējot, pieņemot, apstiprinot šo Konvenciju vai pievienojoties tai, denonsē 1964.gada Hāgas konvenciju par pirkumu — pārdevumu, darot to zināmu Nīderlandes valdībai.

5) Valsts — 1964.gada Hāgas konvencijas par līgumu slēgšanu dalībniece, ratificējot, pieņemot, apstiprinot šo Konvenciju vai pievienojoties tai un saskaņā ar 92.pantu izdara vai ir jau izdarījusi paziņojumu par to, ka šīs Konvencijas III daļa nebūs viņai saistoša, ratificējot, pieņemot, apstiprinot šo Konvenciju vai pievienojoties tai, denonsē 1964.gada Hāgas konvenciju par līgumu slēgšanu, darot to zināmu Nīderlandes valdībai.

6) Šī panta mērķiem šīs Konvencijas ratifikācija, pieņemšana, apstiprināšana vai pievienošanās tai no to valstu puses, kuras ir 1964.gada Hāgas konvencijas par līgumu slēgšanu dalībnieces vai 1964.gada Hāgas konvencijas par pirkumu — pārdevumu dalībnieces, nestājas spēkā līdz tam laikam, kamēr tādā denonsācija, kura var tikt prasīta no šīm valstīm attiecībā uz divām pēdējām konvencijām, nestāsies spēkā. Šīs Konvencijas depozitārijs konsultējas ar Nīderlandes valdību, kura ir 1964.gada Konvenciju depozitārijs, lai šajā sakarā nodrošinātu nepieciešamo koordināciju.

100.pants

1) Līgumu slēgšanai šī Konvencija tiek piemērota tikai tajos gadījumos, kad priekšlikums par līguma slēgšanu tiek izdarīts tai dienā vai pēc tam, kad šī Konvencija stājusies spēkā attiecībā uz valstīm, kuras ir Līgumslēdzējas valstis, un kuras ir minētas 1.panta 1.punkta a.apakšpunktā, vai attiecībā uz Līgumslēdzēju valsti, kura ir minēta 1.panta 1.punkta b.apakšpunktā.

2) Šī Konvencija piemērojama tikai līgumiem, kuri noslēgti tai dienā vai pēc tam, kad šī Konvencija stājusies spēkā attiecībā uz valstīm, kuras ir Līgumslēdzējas valstis, un kuras ir minētas 1.panta 1.punkta a.apakšpunktā, vai attiecībā uz Līgumslēdzēju valsti, kura minēta 1.panta 1.punkta b.apakšpunktā.

101.pants

1) Līgumslēdzēja valsts var denonsēt šo Konvenciju, vai šīs Konvencijas II daļu vai III daļu, nosūtot depozitārijam oficiālu rakstveida ziņojumu.

2) Denonsācija stājas spēkā tā mēneša pirmajā dienā, kurš seko pēc divpadsmit mēnešu paiešanas pēc datuma, kurā depozitārijs ir saņēmis ziņojumu. Ja ziņojumā ir norādīts ilgāks denonsācijas spēkā stāšanās periods, tad denonsācija stājas spēkā pēc šī ilgākā perioda paiešanas pēc tā, kā depozitārijs saņēmis tādu ziņojumu.

PIEŅEMTA Vīnē tūkstotš deviņi simti astoņdesmitā gada vienpadsmitā aprīlī vienā eksemplārā, kura teksti arābu, ķīniešu, angļu, franču, krievu un spāņu valodās ir vienādi autentiski.

KO APSTIPRINOT apakšā parakstījušies pilnvarotie pārstāvji, kurus attiecīgi pilnvarojušas to valdības, ir parakstījuši šo Konvenciju.
