prezidents izsludina šādu likumu:
Par Latvijas Republikas valdības un Itālijas Republikas valdības līgumu par ieguldījumu veicināšanu un aizsardzību

1.pants. 1997.gada 21.maijā Rīgā parakstītais Latvijas Republikas valdības un Itālijas Republikas valdības līgums par ieguldījumu veicināšanu un aizsardzību (turpmāk — Līgums) un tā protokols (turpmāk — Protokols) ar šo likumu tiek pieņemti un apstiprināti.

2.pants. Likums stājas spēkā tā izsludināšanas dienā. Līdz ar likumu izsludināms Līgums un Protokols latviešu un angļu valodā.

3.pants. Līgums un Protokols stājas spēkā Līguma 12.pantā noteiktajā laikā un kārtībā, un par to Ārlietu ministrija paziņo laikrakstā "Latvijas Vēstnesis".

Latvijas Republikas Valdība un Itālijas Republikas Valdība, turpmāk tekstā "Līgumslēdzējas Puses",

vēloties radīt labvēlīgus apstākļus ekonomiskās sadarbības uzlabošanai starp abām valstīm, un it sevišķi vienas Līgumslēdzējas Puses ieguldītāju kapitāla ieguldījumiem otras Līgumslēdzējas Puses teritorijā, un

atzīstot, ka šādu ieguldījumu veicināšana un savstarpēja aizsardzība, kas balstīta uz starptautisko līgumu noteikumiem, dos ieguldījumu saimnieciskās iniciatīvas stimulēšanā, kas sekmēs labklājības uzplaukumu abās valstīs,

ir vienojušās par sekojošo:

1. PANTS

DEFINĪCIJAS

Šajā Līgumā:

1. Termins `'ieguldījums'' nozīmē visa veida īpašumu, kuru vienas Līgumslēdzējas Puses fiziska vai juridiska persona ir ieguldījusi otras Līgumslēdzējas Puses teritorijā, ar noteikumu, ka šis ieguldījums ir veikts saskaņā ar pēdējās Līgumslēdzējas Puses likumiem un noteikumiem un pie kuriem it īpaši, bet ne tikai, pieder:

a) kustamais un nekustamais īpašums, kā arī jebkuras citas īpašumtiesības un citas lietu tiesības tai skaitā hipotēkas, mantiskās vērtības apgrūtinājumi un ķīlu zīmes;

b) uzņēmējsabiedrību pajas, bezseguma parādzīmes, pamata kontrolakcijas vai jebkura cita veida līdzdalība kādā uzņēmējsabiedrībā un jebkura cita veida kredītinstrumenti, kā arī Valdības vērtspapīri;

c) prasījuma tiesības uz naudu vai jebkuru darbības rezultātu ar ekonomisku vērtību, kas saistīts ar ieguldījumu;

d) autortiesības, komerciālās preču zīmes, patenti, rūpnieciskās izstrādnes un citas intelektuālā un rūpnieciskā īpašuma tiesības, nepatentētas īpašās praktiskās zināšanas (`'know-how''), tirdzniecības noslēpumi, preču nosaukumi un "good-will";

e) visa veida ekonomiskās tiesības, kas paredzētas likumdošanā vai kontraktos un visa veida licences un koncesijas, kas tiek garantētas ar spēkā esošajiem ekonomiskās darbības noteikumiem, tajā skaitā tiesības uz uz dabas resursu izpēti, ieguvi un izmantošanu;

f) visa veida sākotnējā ieguldījuma vērtības palielināšanās.

Jebkādas izmaiņas attiecībā uz ieguldījumu formu neietekmēs to kā ieguldījumu raksturojumu.

2. Termins "ieguldītājs" nozīmē jebkuru vienas Līgumslēdzējas Puses fizisku vai juridisku personu, kas izdara ieguldījumu otras Līgumslēdzējas Puses teritorijā.

3. Termins "fiziska persona" attiecībā uz vienu vai otru Līgumslēdzēju Pusi nozīmē jebkuru fizisku personu, kurai ir šīs valsts pilsonība saskaņā ar tās likumiem.

4. Termins "juridiska persona" attiecībā uz vienu vai otru Līgumslēdzēju Pusi nozīmē jebkuru uzņēmumu, kas izveidots vai savādākā atbilstošā veidā nodibināts saskaņā ar vienas vai otras Līgumslēdzējas Puses likumiem un kura galvenā pārstāvniecība atrodas vienas vai otras Līgumslēdzējas Puses teritorijā.

5. Termins "ienākumi" nozīmē summas, kas gūtas no ieguldījuma, un konkrēti, bet ne tikai, ietver peļņu, procentus, kapitāla vērtības pieaugumu, dividendes, autora honorārus, maksas, kā arī cita veida maksājumus.

6. Termins "teritorija" nozīmē kā valstu robežu iekļautās teritorijas, tā arī "ūdens teritorijas". Pēdējās ietver arī jūras un zemūdens teritorijas, kurās Līgumslēdzējas Puses atbilstoši starptautiskajām tiesībām realizē savas suverēnās tiesības un jurisdikciju.

7. "Ieguldījuma līgums" nozīmē līgumu, kuru viena vai otra Līgumslēdzēja Puse (vai tās institūcijas) var noslēgt ar otrās Līgumslēdzējas Puses ieguldītājiem, lai regulētu specifiskās tiesiskās attiecības, kas saistītas ar iepriekšminēto līgumu.

2. PANTS

IEGULDĪJUMU VEICINĀŠANA UN AIZSARDZĪBA

1. Abas Līgumslēdzējas Puses veicinās otras Līgumslēdzējas Puses ieguldītājus veikt ieguldījumus tās teritorijā atbilstoši tās likumiem un noteikumiem.

2. Abas Līgumslēdzējas puses visos gadījumos nodrošina godīgu un taisnīgu attieksmi pret otras Līgumslēdzējas Puses ieguldītāju ieguldījumiem. Katra Līgumslēdzēja Puse nodrošina to, ka tās teritorijā veikto otras Līgumslēdzējas Puses ieguldītāju ieguldījumu pārvaldīšana, uzturēšana, lietošana, pārveidošana, izmantošana vai atsavināšana, kā arī juridiskās personas, it sevišķi, bet ne tikai, uzņēmējsabiedrības un uzņēmumi, kuros šie ieguldījumi ir veikti, nekādā veidā netiek pakļauti nepamatotām vai diskriminējošām darbībām.

3. Abas Līgumslēdzējas Puses savās teritorijā izveidos un uzturēs labvēlīgus ekonomiskos un juridiskos apstākļus, lai otras Līgumslēdzējas Puses ieguldītāji varētu veikt ieguldījumus saskaņā ar tās likumdošanu, ieskaitot apņemšanos godprātīgi izpildīt katra atsevišķā ieguldītāja saistības.

3. PANTS

NACIONĀLAIS UN VISLIELĀKĀS LABVĒLĪBAS REŽĪMS

1. Abas Līgumslēdzējas Puses savas teritorijas robežās garantē otras Līgumslēdzējas Puses ieguldītāju ieguldījumiem un to ienākumiem attieksmi, kas ir ne mazāk labvēlīga kā attieksme, ko tā garantētu savas vai jebkuras trešās valsts ieguldītāju ieguldījumiem un to ienākumiem.

2. Ja spēkā esošās vai nākotnē stājošās spēkā vienas vai otras Līgumslēdzējas Puses starptautiskās saistības ietver noteikumus, vispārīgus vai specifiskus, kas paredz labvēlīgāku režīmu pret otras Līgumslēdzējas Puses ieguldītāju ieguldījumiem nekā tas, kas paredzēts šajā Līgumā, šādiem noteikumiem, tajā mērā, cik tie ir labvēlīgāki, ir augstāks juridisks spēks salīdzinot ar šo Līgumu.

3. Šī Līguma noteikumi neattiecas uz priekšrocībām un privilēģijām, kuras viena vai otra Līgumslēdzēja Puse garantē jebkuras trešās valsts ieguldītājiem saskaņā ar tās dalību jebkādā muitas vai ekonomiskajā ūnijā, kopīgajā tirgū, brīvās tirdzniecības zonā, reģionālā līgumā, starptautiskā daudzpusējā ekonomiskā līgumā vai saskaņā ar līgumiem, kas noslēgti, lai novērstu dubultu nodokļu iekasēšanu vai lai sekmētu tirdzniecību.

4. PANTS

KAITĒJUMU VAI ZAUDĒJUMU ATLĪDZĪBA

Ja vienas Līgumslēdzējas Puses ieguldītāju ieguldījumiem tiek nodarīti kaitējumi vai zaudējumi otras Līgumslēdzējas Puses teritorijā sakarā ar karu, jebkuru citu bruņota konflikta formu, nacionālo ārkārtas stāvokli, pilsoņu nemieriem vai citiem līdzīgiem notikumiem, tad šī otra Līgumslēdzēja Puse, kuras teritorijā ir izdarīts noteiktais ieguldījums, piešķir adekvātu šo kaitējumu vai zaudējumu kompensāciju, neskatoties uz to, vai šos kaitējumus vai zaudējumus ir nodarījuši valdības bruņotie spēki. Kompensāciju maksājumiem ir jābūt brīvi pārvedamiem bez nepamatotiem aizkavējumiem.

Pret iesaistītajiem ieguldītājiem ir jāpiemēro tāds režīms, kāds tiktu piemērots pret otras Līgumslēdzējas Puses pilsoņiem un, jebkādu notikumu gaitā, ne mazāk labvēlīgs kā tas, kas tiek piemērots pret trešās valsts ieguldītājiem.

5. PANTS

EKSPROPRIĀCIJA VAI NACIONALIZĀCIJA

1. Nevienas Līgumslēdzējas Puses ieguldītāju ieguldījumi nav otras Līgumslēdzējas Puses teritorijā ekspropriējami vai pakļaujami tādiem piespiedpasākumiem, kuru rezultāts ir līdzvērtīgs nacionalizācijai vai ekspropriācijai (turpmāk tekstā "ekspropriācija"), izņemot gadījumus, kad tas tiek darīts sabiedrības vai nacionālajās interesēs.

Ekspropriāciju izdara likumīgā kārtā, ar nediskriminējošu motivāciju, un, to īstenojot, tiek garantēta tūlītējas, adekvātas un efektīvas kompensācijas izmaksa.

Šādas kompensācijas apjoms ir līdzvērtīgs tai tirgus vērtībai, kas ekspropriētajam ieguldījumam ir bijusi tieši pirms ziņas par ekspropriēšanas lēmumu nokļūšanas atklātībā.

Maiņas kurss, kas tiek piemērots jebkādai šādai kompensācijai, ir līdzvērtīgs tieši dienu pirms ziņas par ekspropriācijas lēmumu nokļūšanas atklātībā dominējošajam kursam.

Kompensācijas apjomā tiek iekļauti procenti, kas aprēķināti saskaņā ar LIBOR likmi par laiku kopš ekspropriācijas datuma līdz izmaksas datumam, to izmaksā bez nepamatotiem aizkavējumiem, jebkuros apstākļos trīs mēnešu laikā, tai ir jābūt efektīvi realizējamai un brīvi pārvedamai brīvi konvertējamā valūtā.

2. Nesaprašanās gadījumā starp vienu Līgumslēdzēju Pusi un otras Līgumslēdzējas puses ieguldītāju attiecībā uz kompensācijas apjomu, pēdējais tiek balstīts uz tiem pašiem norāžu parametriem, kas tikuši ņemti vērā ieguldījuma veikšanas dokumentos.

3. Šī Panta noteikumi tiek piemēroti arī gadījumos, kad viena Līgumslēdzēja Puse ekspropriē jebkuras uzņēmējsabiedrības, kas ir reģistrēta un izveidota saskaņā ar tās teritorijā spēkā esošajiem likumiem un kurā otras Līgumslēdzējas Puses ieguldītājiem pieder akcijas vai ir jebkāda cita dalības forma.

4. Vienas vai otras Līgumslēdzējas Puses ieguldītājam, kas apgalvo, ka tā ieguldījums vai tā daļa ir tikusi pakļauta ekspropriācijai, ir tiesības uz to, ka otras Līgumslēdzējas Puses kompetentās tiesu vai administratīvās iestādes nekavējoties izskata viņa lietu, lai noteiktu vai šāds pasākums ir noticis un gadījumā, ja ir noticis, vai šis pasākums vai jebkāda pienākošās kompensācija atbilst šī Līguma noteikumiem un starptautisko tiesību principiem, kā arī lai lemtu par citiem saistītajiem jautājumiem.

5. Kompensācija tiek uzskatīta par notikušu, ja tā ir izmaksāta brīvi konvertējamā valūtā vai jebkurā citā valūtā, kuru pieņem attiecīgais ieguldītājs. Kompensācija ir brīvi pārvedama.

6. Šī Panta noteikumi attiecas arī uz ieguldījuma ienākumiem un, uzņēmējdarbības izbeigšanas gadījumā, uz likvidācijas ieņēmumiem. Tie neattiecas uz jebkāda veida ienākumiem nākotnē.

7. Gadījumā, ja pēc atsavināšanas ekspropriācijas rezultātā iesaistītie aktīvi nav tikuši izmantoti, pilnīgi vai daļēji, iepriekšējam īpašniekam vai tā pilnvarotajiem ir tiesības uz šo īpašumu atpirkšanu pēc tirgus cenas.

6. PANTS

PRASĪBAS TIESĪBU PĀRŅEMŠANA

1. Ja viena Līgumslēdzēja Puse vai tās nozīmēta institūcija izdara maksājumus saviem ieguldītājiem saskaņā ar garantiju, kas dota attiecībā uz kāda ieguldījuma nekomerciālo risku otras Līgumslēdzējas Puses teritorijā, tad šī otra Līgumslēdzēja Puse atzīst, ka:

a) jebkurus ieguldītāja prasījumus pārņem, vai nu saskaņā ar likumu vai pamatojoties uz likumīgu darījumu šajā valstī, pirmā Līgumslēdzēja Puse vai tās nozīmēta institūcija, kā arī to, ka

b) pirmā Līgumslēdzēja Puse vai tās pilnvarota institūcija, pārņemot ieguldītāja tiesības, ir tiesīga realizēt šī ieguldītāja tiesības un celt tā prasījumus un uzņemas saistības attiecībā uz šo ieguldījumu.

2. Attiecībā uz maksājumu pārvedumiem attiecīgajai Līgumslēdzējai Pusei vai tās nozīmētajai institūcijai saskaņā ar tiesību nodošanu tiek piemēroti šī Līguma 7. panta noteikumi.

7. PANTS

PĀRVEDUMU PROCEDŪRAS

1. Līgumslēdzējas Puses garantē to maksājumu pārvedumus, kas saistīti ar ieguldījumiem un to ienākumiem. Pārvedumus izdara pēc visu finansiālo saistību izpildes brīvi konvertējamā valūtā bez jebkādiem ierobežojumiem un neattaisnotiem kavējumiem. Šādu maksājumu kategorijā konkrēti, bet ne tikai, ietilpst:

a) kapitāls un papildsummas, tai skaitā atkārtoti ieguldītie ienākumi, ieguldījuma uzturēšanai kārtībā un tā palielināšanai;

b) peļņa, dividendes, autora honorāri, maksas, procenti un citi ienākumi;

c) aizņēmumu atmaksāšanas līdzekļi;

d) ieņēmumi, kas iegūti daļēji vai pilnīgi pārdodot vai likvidējot ieguldījumu;

e) atlīdzība vai atalgojums, kas izmaksāts otras Līgumslēdzējas Puses pilsoņiem par darbu vai pakalpojumiem, kas veikti saistībā ar šīs otras Līgumslēdzējas Puses teritorijā veikto ieguldījumu, daudzumā un veidā, kas paredzēts spēkā esošajā nacionālajā likumdošanā un noteikumos.

2. Visi pārvedumi, kas minēti šī Panta 1. punktā, ir izdarāmi saskaņā ar dominējošo valūtu maiņas kursu, kurš ir spēkā datumā, kas attiecīgais ieguldītājs uzsāk pēc atbilstošā pārveduma, ja vien nav panākta cita vienošanās.

3. Pārvedumi, kas minēti 4., 5. pantā un šī Panta 1. punktā, tiek uzskatīti par veiktiem "bez nepamatotiem aizkavējumiem", ja tie ir veikti laika periodā, kas parasti nepieciešams šāda pārveduma veikšanai. Šis laika periods nekādos apstākļos nedrīkst pārsniegt trīs mēnešus.

4. Finansiālās saistības, kas paredzētas šī Panta 1. punktā tiek uzskatītas par izpildītām, kad attiecīgais ieguldītājs ir izpildījis tās Līgumslēdzējas Puses, kuras teritorijā ir veikts ieguldījums, likumā paredzētās prasības.

5. Neierobežojot šī Līguma 3. Panta darbības lauku, Līgumslēdzējas Puses uzņemas pārvedumiem, kas minēti šī Panta 1. punktā, piemērot tikpat labvēlīgu režīmu kā to, kas tiek piemērots jebkuras trešās valsts ieguldītāju ieguldījumiem gadījumā, ja tas ir labvēlīgāks par jau minēto.

8. PANTS

STRĪDU NOKĀRTOŠANA STARP IEGULDĪTĀJIEM UN LĪGUMSLĒDZĒJĀM PUSĒM

1. Jebkuru strīdu, kas var rasties starp vienu no Līgumslēdzējām Pusēm un otras Līgumslēdzējas Puses ieguldītājiem sakarā ar ieguldījumiem, tai skaitā strīdus, kas saistīti ar kompensāciju apjomu, iespēju robežās ir jācenšas risināt konsultāciju un sarunu ceļā.

2. Ja attiecīgais ieguldītājs un viena no Līgumslēdzējām Pusēm ir noslēguši ieguldījuma līgumu, tiek piemērota procedūra, kas paredzēta šādā ieguldījuma līgumā.

3. Ja šādu strīdu nevar izšķirt sešu mēnešu laikā no rakstiskas prasības iesniegšanas brīža, ieguldītājam pēc savas izvēles ir tiesības nodot strīda izskatīšanu:

a) tās Līgumslēdzējas Puses tiesai, kuras teritorijā ir izdarīts attiecīgais ieguldījums;

b) ārkārtas šķīrējtiesai, kas izveidota saskaņā ar Apvienoto Nāciju Organizācijas Starptautisko Tirdzniecības Tiesību Komisijas (UNCITRAL) šķīrējtiesas procesa noteikumiem. Līgumslēdzēja Puse, kuras teritorijā veiktais ieguldījums ir iesaistīts strīdā, ar šo apņemas pieņemt augstākminētās šķīrējtiesas darbību;

c) Starptautiskajā ieguldījumu strīdu izšķiršanas centrā (ICSID), lai veiktu šķīrējtiesas vai samierināšanas procedūras saskaņā ar 1965. gada 18. marta Vašingtonas Konvenciju par to ar ieguldījumiem saistīto strīdu nokārtošanu, kas radušies starp valstīm un citu valstu pilsoņiem, gadījumā ja vai tiklīdz abas Līgumslēdzējas Puses kļūst par šīs Konvencijas dalībvalstīm.

4. Abas Līgumslēdzējas Puses atturēsies no sarunu vešanas, izmantojot diplomātiskos kanālus neskatoties uz to, vai tās attiecas uz šķīrējtiesas procedūrām vai tiesas procedūrām, līdz brīdim, kad šīs procedūras ir pabeigtas, un viena no Līgumslēdzējām Pusēm nav izpildījusi šķīrējtiesas vai tiesas lēmumu laika periodā, ko tā ir noteikusi, vai laika periodā, kurš var būt noteikts pamatojoties uz starptautisko un vietējo likumu noteikumiem, kas var tikt piemēroti attiecīgajam gadījumam.

9. PANTS

LĪGUMSLĒDZĒJU PUŠU STRĪDU NOKĀRTOŠANA

1. Jebkuru strīdu, kas varētu rasties starp Līgumslēdzējām Pusēm attiecībā uz šī Līguma interpretāciju un piemērošanu, iespēju robežās ir jācenšas atrisināt konsultāciju un sarunu ceļā.

2. Gadījumā, ja strīds nav izšķirams sešu mēnešu laikā no dienas, kas viena Līgumslēdzēja Puse iesniedz rakstisku paziņojumu otrai Līgumslēdzējai Pusei, tad pēc vienas vai otras Līgumslēdzējas Puses lūguma tā izšķiršana ir nododama ārkārtas šķīrējtiesai, kā tas ir paredzēts šajā Pantā.

3. Šķīrējtiesa ir jāveido sekojošā veidā: divu mēnešu laikā kopš šķīrējtiesas lūguma saņemšanas brīža katra Līgumslēdzēja Puse nozīmē vienu Tiesas locekli. Šie divi Tiesas locekļi pēc tam izvēlas kādu kādas trešās valsts pilsoni Tiesas Priekšsēdētāja amatam. Priekšsēdētājs ir jānozīmē triju mēnešu laikā kopš abu pārējo tiesas locekļu nozīmēšanas datuma.

4. Ja norīkojumi nav veikti šī Panta 3. punktā norādītajā laika periodā, tad, jebkura no Līgumslēdzējām Pusēm, neskatoties uz citām vienošanām, ir tiesīga griezties pie Starptautiskās tiesas prezidenta ar lūgumu veikt šos norīkojumus. Ja Tiesas Prezidents ir vienas vai otras Līgumslēdzējas Puses pilsonis vai ja viņam rodas citi šķēršļi norīkojuma veikšanai, tad ar attiecīgo lūgumu griežas pie Tiesas Viceprezidenta. Ja Tiesas Viceprezidents ir vienas vai otras Līgumslēdzējas Puses pilsonis vai viņam rodas citi šķēršļi norīkojuma veikšanai, ar lūgumu izdarīt šo norīkojumu griežas pie tā nākošā augstākā ranga Starptautiskās tiesas locekļa, kurš nav nevienas Līgumslēdzējas Puses pilsonis.

5. Šķīrējtiesa pieņem lēmumu ar balsu vairākumu un tās lēmumi ir saistoši abām Līgumslēdzējām Pusēm. Katra Līgumslēdzēja Puse sedz sava Šķīrējtiesas locekļa un tās pārstāvības izmaksas lietas iztiesāšanas procesā. Priekšsēdētāja izmaksas un jebkuras pārējās izmaksas līdzīgās daļās sedz abas Līgumslēdzējas Puses.

Šķīrējtiesa pati nosaka savas procesuālās normas.

10. PANTS

CITU NOTEIKUMU PIEMĒROŠANA

1. Ja kādu jautājumu vienlaicīgi regulē gan šis Līgums, gan kāds cits starptautisks līgums, kura dalībpuses ir abas Līgumslēdzējas Puses, vai vispārējie starptautisko tiesību noteikumi, Līgumslēdzējām Pusēm un to ieguldītājiem tiek piemēroti vislabvēlīgākie noteikumi.

2. Ja režīms, kuru viena Līgumslēdzēja Puse piemēro otras Līgumslēdzējas Puses ieguldītājiem saskaņā ar savu likumdošanu, citiem normatīvajiem aktiem un citiem noteikumiem saskaņā ar kādu īpašu līgumu, ieguldījuma pilnvarojumu vai ieguldījuma līgumu, ir labvēlīgāks nekā saskaņā ar šo Līgumu garantējamais režīms, tad jāpiemēro vislabvēlīgākais no minētajiem.

3. Jebkuras izmaiņas kādas no Līgumslēdzējām Pusēm likumdošanā, kas tieši vai netieši regulē ieguldījumu un kas pieņemtas pēc attiecīgā ieguldījuma veikšanas datuma, netiek piemēroti ar atpakaļejošu datumu un tādējādi ieguldījumi, kas veikti saskaņā ar šo Līgumu, ir aizsargāti.

11. PANTS

LĪGUMA PIEMĒROŠANA

Šis Līgums ir piemērojams ieguldījumiem, ko vienas Līgumslēdzējas Puses teritorijā atbilstoši tās likumiem un noteikumiem ir izdarījuši otras Līgumslēdzējas Puses ieguldītāji pirms, kā arī pēc šī Līguma stāšanās spēkā, bet nav piemērojams jebkuram ar kādu ieguldījumu saistītam strīdam, kurš ir radies pirms tā stāšanās spēkā, vai jebkurai prasībai, kura tikusi izvirzīta pirms tā stāšanās spēkā.

12. PANTS

STĀŠANĀS SPĒKĀ

Šis Līgums stājas spēkā otrā rakstiskā paziņojuma dienā, ar kuru abas Līgumslēdzējas Puses informē viena otru par nepieciešamo iekšzemes procedūru izpildes pabeigšanu.

13. PANTS

LABOJUMI

Līgumslēdzējas Puses ir tiesīgas vienoties par šī Līguma noteikumu labojumiem. Šādi labojumi stājas spēkā atbilstoši procedūrām, kas noteiktas 12. pantā.

14. PANTS

DARBĪBAS TERMIŅŠ UN DENONSĒŠANA

1. Šis Līgums ir spēkā desmit gadus no paziņojuma datuma, kas noteikts 12. pantā, un pēc tam paliek spēkā turpmākos piecus gadus, ja vien kāda no abām līgumslēdzējām Pusēm ne vēlāk kā gadu pirms tā termiņa notecēšanas nav rakstiski paziņojusi par savu vēlēšanos šo Līgumu denonsēt.

2. Attiecībā uz ieguldījumiem, kas veikti pirms šī Līguma denonsēšanas datuma, kā tas paredzēts šī Panta 1. punktā, 1.-11. pantā paredzētās normas paliek spēkā vēl piecus gadus pēc augstākminētā datuma.

ŠO APLIECINOT, apakšā parakstījušies, šim nolūkam savu attiecīgo Valdību pienācīgā kārtā pilnvaroti, ir parakstījuši šo Līgumu.

Noslēgts divos oriģināleksemplāros Rīgā, tūkstoš deviņi simti deviņdesmit septītā gada 21.maijā latviešu, itāļu un angļu valodā, pie kam visi teksti ir vienlīdz autentiski.

Jebkuru nesaskaņu gadījumā noteicošais ir teksts angļu valodā.

P R O T O K O L S

Parakstot Latvijas Republikas Valdības un Itālijas Republikas Valdības līgumu par ieguldījumu veicināšanu un aizsardzību, Līgumslēdzējas Puses tāpat ir vienojušās par sekojošiem pantiem (noteikumiem), kas ir jāuzskata par šī Līguma neatņemamu sastāvdaļu.

1. Ar ieguldījumiem saistītā darbība

Šī Līguma noteikumi ir piemērojami arī attiecībā uz visa veida ar ieguldījumu saistīto darbību.

Šāda veida darbība konkrēti, bet ne tikai, ietver:

uzņēmējsabiedrību, filiāļu, aģentūru, biroju, rūpnīcu un citu uzņēmējdarbības veikšanai nepieciešamo iespēju veidošanu, kontroli, darbību, uzturēšanu kārtībā un likvidāciju; līgumu slēgšanu un izpildi; visa veida īpašuma, tai skaitā intelektuālā īpašuma, iegūšanu, izmantošanu, aizsardzību un nodošanu; līdzekļu aizņemšanos; pamatakciju un citu vērtspapīru pirkšanu, izlaišanu un pārdošanu; un valūtas iepirkšanu importam.

2. Atsaucoties uz 2.pantu

a) Katra Līgumslēdzēja Puse nodrošinās efektīvus prasību izvirzīšanas un tiesību garantēšanas līdzekļus attiecībā un ieguldījumiem un ieguldījumu līgumiem.

b) Katra Līgumslēdzēja Puse saskaņā ar tās likumiem un citiem normatīvajiem aktiem cik iespējams labvēlīgi pārvaldīs jautājumus, kas saistīti ar otras Līgumslēdzējas Puses pilsoņu un to ģimenes locekļu iebraukšanu, uzturēšanos, darbu un pārvietošanos tās teritorijā, veicot darbību, kas saistīta ar ieguldījumiem, kas veikti saskaņā ar šo Līgumu.

c) Juridiskās personas, kas izveidotas saskaņā ar attiecīgajiem vienas Līgumslēdzējas Puses likumiem un citiem normatīvajiem aktiem un kuru īpašnieki un kontrolētāji ir otras Līgumslēdzējas Puses ieguldītāji, ir tiesīgas iesaistīt augstāko vadības personālu saskaņā ar viņu pašu izvēli, neatkarīgi no tā pilsonības, saskaņā ar tās Līgumslēdzējas Puses likumdošanu, kurā veikts attiecīgais ieguldījums.

3. Atsaucoties uz 3.pantu

Jebkura veida darbībai, kas saistīta ar izejvielu un pārstrādāto materiālu, enerģijas, kurināmā un ražošanas līdzekļu sagādi, pārdošanu un transportēšanu, kā arī jebkura cita veida ar to saistīta darbība, kas saistīta ar ieguldījuma, kas izveidots saskaņā ar šo Līgumu, darbību, abu Līgumslēdzēju Pušu teritorijās tiek piemērots tāds režīms, kas ir ne mazāk labvēlīgs kā tas, kas tiek piemērots tās Līgumslēdzējas Puses ieguldītāju, kuras teritorijā ir veikts attiecīgais ieguldījums, vai jebkuras trešās valsts ieguldītāju veiktajai līdzīgai darbībai vai iniciatīvai.

4. Atsaucoties uz 5.punktu

Jebkāda veida pasākumi, kas tiek veikti attiecībā uz ieguldījumu, kuru veicis vienas vai otras Līgumslēdzējas Puses ieguldītājs, kas iegūst finansiālus līdzekļus vai cita veida īpašumu no attiecīgā ieguldījuma vai rada ievērojamu kaitējumu minētā ieguldījuma vērtībai, kā arī jebkura cita veida pasākumi, kas rada līdzvērtīgu rezultātu, tiek uzskatīti par daļu no 5. panta 1. punktā paredzētajām darbībām.

5. Atsaucoties uz 8.pantu

Saskaņā ar 8. panta 3. punkta (b) daļu šķīrējtiesas procedūras ir jāveic saskaņā ar Apvienoto Nāciju Organizācijas Starptautisko Tirdzniecības Tiesību Komisijas (UNCITRAL) šķīrējtiesas standartiem, kā arī saskaņā ar sekojošiem noteikumiem:

a) Šķīrējtiesa tiek veidota no trim tiesas locekļiem; ja tie nav nevienas Līgumslēdzējas Puses pilsoņi, tad tiem ir jābūt to valstu pilsoņiem, kuras uztur diplomātiskās attiecības ar abām Līgumslēdzējām Pusēm.

Tiesnešu iecelšanu, kad tas ir nepieciešams saskaņā ar UNCITRAL noteikumiem, veic Stokholmas Palātas Šķīrējtiesu Institūta Prezidents saskaņā ar savām iecelšanas tiesībām. Šķīrējtiesas procedūras norisinās Stokholmā, ja vien šķīrējtiesas puses nav panākušas citu vienošanos.

b) Pieņemot lēmumu, Šķīrējtiesa jebkurā gadījumā ievēro noteikumus, kas paredzēti šajā Līgumā, kā arī starptautisko tiesību principus, kurus atzīst abas Līgumslēdzējas Puses.

Šķīrējtiesas lēmuma atzīšanu un izpildi Līgumslēdzēju Pušu teritorijās nosaka to atbilstošās nacionālās likumdošanas saskaņā ar atbilstošajām starptautiskajām konvencijām, kuru dalībvalstis ir Līgumslēdzējas Puses.

ŠO APLIECINOT, apakšā parakstījušies, šim nolūkam savu attiecīgo Valdību pienācīgā kārtā pilnvaroti, ir parakstījuši šo Protokolu.

Noslēgts divos oriģināleksemplāros Rīgā, tūkstoš deviņi simti deviņdesmit septītā gada 21. maijā latviešu, itāļu un angļu valodā, pie kam visi teksti ir vienlīdz autentiski.

Agreement
between the Government of the Republic of Latvia and the Government of the Italian Republic on the Promotion and Protection of Investments

The Government of the Italian Republic and the Government of the Republic of Latvia , hereinafter referred to as the Contracting Parties,

desiring to establish favourable conditions for improved economic cooperation between the two Countries, and especially in relation to capital investments by investors of one Contracting Party in the territory of the other Contracting Party, and

acknowledging that offering encouragement and mutual protection to such investments, based on international Agreements, will contribute to stimulating business ventures, which foster the prosperity of both States,

have agreed as follows:

Article 1 - Definitions

For the purposes of this Agreement:

1. The term "investment" shall mean any kind of property invested by a natural or legal person of a Contracting Party in the territory or the other Contracting Party, provided that the investment has been made in accordance with laws and regulations of the latter Contracting Party and shall include in particular, but not exclusively:

a) movable and immovable property as well as any other property rights and rights "in rem" such as pledges, liens and mortgages;

b) shares, debentures, equity holdings or any other form of participation in a company and any other instruments of credit, as well as Government securities;

c) claims to money or any performance having an economic value connected with an investment;

d) copyright, commercial trade marks, patents, industrial designs and other intellectual; and industrial property rights, know-how, trade secrets, trade names and goodwill;

e) any economic right accruing by law or by contract and any licence and concession granted in accordance with the provisions in force on economic activities, including the right to prospect for, extract and exploit natural resources;

f) any increase in value of the original investment.

Any modification in the form of the investment does not imply a change in the nature thereof.

2. The term "investor" shall mean any natural or legal person of a Contracting Party investing in the territory of the other Contracting Party.

3. The term "natural person", in reference to either Contracting Party, shall mean any natural person holding the nationality of that State in accordance with its laws.

4. The term "legal person", in reference to either Contracting Party, shall mean any entity which is constituted or otherwise duly organized under the law of one of the Contracting Parties, having its head office in the territory of one of the Contracting Parties.

5. The term "income" shall mean the amounts yielded by an investment and in particular, though not exclusively, includes profits, interests, capital gains, dividends, royalties, fees and any other form of payments.

6. The term "territory" shall mean, in addition to the zones contained within the land boundaries, the "maritime zones". The latter also comprise the marine and submarine zones over which the Contracting Parties exercise sovereignty, and sovereign or jurisdictional rights, under international law.

7. "Investment agreement" shall mean an agreement that a Contracting Party (or its agencies) may enter with investors of the other Contracting Party in order to regulate the specific legal relationships concerning the aforesaid investment.

Article 2 - Promotion and Protection of Investments

1. Both Contracting Parties shall encourage investors of the other Contracting Party to invest in their territory according to their laws and regulations.

2. Both Contracting Parties shall at all times ensure just and fair treatment of the investments of investors of the other Contracting Party. Both Contracting Parties shall ensure that the management, maintenance, use, transformation, enjoyment or assignment of the investments effected in their territory by investors of the other Contracting Party, as well as the legal persons, in particular but not exclusively, companies and enterprises, in which these investments have been effected, shall in no way be subject to unjustified or discriminatory measures.

3. Each Contracting Party shall create and maintain in its territory favourable economic and legal conditions in order to permit investments of investors of the other Contracting Party in accordance with its legislation, including the compliance, in good faith, of all undertakings assumed with regard to each specific investor.

Article 3 - National Treatment and the Most Favoured Nation Clause

1. Both Contracting Parties, within the bounds of their own territory, shall offer investments effected by, and the income accruing to, investors of the other Contracting Party no less favourable treatment than that accorded to investments effected by, and income accruing to, its own investors or investors of Third States.

2. If international obligations in force or that may come into force in the future for one of the Contracting Parties, contain rules, whether general or specific, entitling investments by investors of the other Contracting Party to a treatment more favourable than the one provided for by the present Agreement, such rules will, to the extent that they are more favourable, prevail over the present Agreement.

3. The provisions of this Agreement do not refer to the advantages and privileges which one Contracting Party may grant to investors of Third States by virtue of its membership of a Customs or Economic Union, of a Common Market, of a Free Trade Area, of a regional or subregional Agreement, of an international multilateral economic Agreement or under Agreements stipulated in order to prevent double taxation or to facilitate cross-border trade.

Article 4 - Compensation for Damages or Losses

Should investors of one of the Contracting Parties incur losses or damages on their investments in the territory of the other Contracting Party due to war, other forms of armed conflict, a state of emergency, civil strife or other similar events, the Contracting Party in which the investment has been effected shall offer adequate compensation in respect of such losses or damages, whether or not such losses or damages have been caused by governmental forces. Compensation payments shall be freely transferable without undue delay.

The investors concerned shall receive the same treatment as the nationals of the other Contracting Party and, at all events, no less favourable than the one accorded to investors of Third States.

Article 5 - Expropriation or Nationalization

1. Investments of investors of either Contracting Party shall not be expropriated or subjected to measures having effect equivalent to nationalization or expropriation (hereinafter referred as "expropriation") in the territory of the other Contracting Party except for a public purpose or national interest.

The expropriation shall be carried out under due process of law, on a non-discriminatory basis and in exchange of the payment of prompt, adequate and effective compensation.

Such compensation shall be equivalent to the market value of the investment expropriated immediately prior to the moment in which the decision of expropriation has been announced.

The exchange rate applicable to any such compensation shall be that prevailing on the date immediately prior to the moment in which the decision of expropriation has been announced.

The compensation shall include interest calculated on the LIBOR basis from the date of expropriation to the date of payment, shall be made without undue delay and in any case within three months, shall be effectively realizable and shall be freely transferable in freely convertible currency.

2. In the absence of an understanding between the host Contracting Party and the investor concerning the amount of the compensation, the latter shall be based on the same reference parameters taken into account in the documents for the constitution of the investment.

3. The provisions of this Article shall also apply when a Contracting Party expropriates the assets of a company which is incorporated or constituted under the law in force in its territory and of which investors of the other Contracting Party own shares or have other forms of participation.

4. An investor of either Contracting Party that asserts that all or part of its investment has been affected by expropriation shall have the right to a prompt review by the competent judicial or administrative authorities of the other Contracting Party in order to determine whether such measure has occurred and, if it has, whether such measure and any compensation thereof conform to the provisions of this Agreement and to the principles of international law, and in order to decide all other relevant matters.

5. Compensation will be considered as actual if it has been paid in the any freely convertible currency or in any other currency accepted by the investor. Compensation will be freely transferable.

6. The provisions of this Article shall also apply to profits of an investment and, in the event of winding-up, to the proceeds of liquidation. They will not apply to any future profit.

7. If, after the dispossession, as a consequence of expropriation, the assets concerned have not been utilized, wholly or partially, for that purpose, the owner or his assignees are entitled to the repurchasing of the assets at market price.

Article 6 - Subrogation

1. If a Contracting Party or its designated Agency makes payments to its own investors under a guarantee it has accorded in respect of non-commercial risks for an investment in the territory of the other Contracting Party the latter Contracting Party shall recognize:

a) the assignment, whether under the law or pursuant to a legal transaction in that country, of any right or claim by the investor to the former Contracting Party or its designated Agency, as well as

b) that the former Contracting Party or its designated Agency is entitled by virtue of subrogation to exercise the rights and enforce the claims of that investor and shall assume the obligations related to the investment.

2. In relation to the transfer of payments to the Contracting Party or its designated Agency by virtue of this assignment, the provisions of Article 7 of this Agreement shall apply.

Article 7 - Transfer Procedures

1. The Contracting Parties shall guarantee the transfer of payments related to investments and income. The transfers shall be made in a freely convertible currency, without any restriction and undue delay, after all fiscal obligations have been fulfilled. Such transfers shall include in particular, though not exclusively:

a) capital and additional capital, including reinvested income, used to maintain and increase an investment;

b) profits, dividends, royalties, fees, interests, and other income;

c) funds in repayment of loans;

d) income deriving from the total or partial sale or the total or partial liquidation of an investment;

e) remuneration and allowances paid to nationals of the other Contracting Party for work and services performed in relation to an investment effected in the territory of the other Contracting Party, in the amount and manner prescribed by the national legislation and regulations in force.

2. A11 the transfers referred to in paragraph 1 of this Article shall be made at the prevailing exchange rate applicable on the date on which the investor applies for the related transfer, unless otherwise agreed.

3. Transfers referred to in Articles 4, 5, and in paragraph 1 of this Article, shall be considered to have been made "without undue delay" when they have been made within the period normally necessary for the completion of the transfer. Such period shall under no circumstances exceed three months.

4. The fiscal obligations under paragraph 1 of this Article are deemed to be complied with when the investor has fulfilled the proceedings provided for by the law of the Contracting Party on the territory of which the investment has been carried out.

5. Without restricting the scope of Article 3 of this Agreement, the Contracting Parties undertake to apply to the transfers mentioned in paragraph 1 of this Article, the same favourable treatment accorded to investments effected by investors of Third States, in case it is more favourable.

Article 8 - Settlement of Disputes between Investors and Contracting Parties

1. Any dispute which may arise between one of the Contracting Parties and the investors of the other Contracting Party on investments, including disputes relating to the amount of compensation, shall be settled, if possible, through consultation and negotiation.

2. In case the investor and one of the Contracting Parties have stipulated an investment agreement, the procedure foreseen in such investment agreement shall apply.

3. In the event that such dispute cannot be settled within six months from the date of the written application for settlement, the investor may submit at his choice the dispute for settlement to:

a) the Contracting Party's Court having territorial jurisdiction;

b) an "ad hoc" Arbitration Tribunal, in compliance with the arbitration regulation of the United Nations Commission on the International Trade Law (UNCITRAL). The host Contracting Party undertakes hereby to accept the said arbitration;

c) the International Centre for Settlement of Investment Disputes, for the implementation of the arbitration or conciliation procedures under the Washington Convention of 18 March, 1965, on the Settlement of Investment Disputes between States and Nationals of Other States, if or as soon as both the Contracting Parties have acceded to it.

4. Both Contracting Parties shall refrain from negotiating through diplomatic channels any matter relating to an arbitration procedure or judicial procedures underway until these procedures have been concluded, and one of the Contracting Parties has failed to comply with the ruling of the Arbitration Tribunal or the Court of law within the period envisaged by the ruling, or else within the period which can be determined on the basis of the international or domestic law provisions which can be applied to the case.

Article 9 - Settlement of Disputes between the Contracting Parties

1. Any dispute which may arise between the Contracting Parties relating to the interpretation and application of this Agreement shall, if possible, be settled through consultation and negotiation.

2. In the event that the dispute cannot be settled within six months from the date on which one of the Contracting Parties notifies, in writing, the other Contracting Party, the dispute shall, at the request of one of the Contracting Parties, be laid before an "ad hoc" Arbitration Tribunal as provided in this Article.

3. The Arbitration Tribunal shall be constituted in the following manner: within two months from the moment on which the request for arbitration is received, each of the two Contracting Parties shall appoint a member of the Tribunal. The two members shall then choose a national of a Third State to serve as President. The President shall be appointed within three months from the date on which the other two members are appointed.

4. If, within the period specified in paragraph 3 of this Article, the appointments have not been made, each of the two Contracting Parties can, in default of other arrangement, ask the President of the International Court of Justice to make the appointment. In the event that the President of the Court is a national of one of the Contracting Parties or it is, for any reason, impossible for him to make the appointment, the application shall be made to the Vice-President of the Court. If the Vice-President of the Court is a national of one of the Contracting Parties, or is unable to make the appointment for any reason, the most senior member of the International Court of Justice, who is not a national of one of the Contracting Parties, shall be invited to make the appointment.

5. The Arbitration Tribunal shall rule with a majority vote, and its decisions shall be binding on both Contracting Parties. Each Contracting Party shall pay the costs of its own member of Tribunal and of its representatives at the hearings. The President's costs and any other cost shall be divided equally between the Contracting Parties.

The Arbitration Tribunal shall lay down its own procedures.

Article 10 - Application of other Provisions

1. If a matter is governed both by this Agreement and by another International Agreement to which both Contracting Parties are signatories, or by general international law provisions, the most favourable provisions shall be applied to the Contracting Parties and to their investors.

2. Whenever the treatment accorded by one Contracting Party to the investors of the other Contracting Party, according to its laws and regulations or other provisions or a specific contract or investment authorisations or an investment agreement, is more favourable than that provided under this Agreement, the most favourable treatment shall apply.

3. After the date when the investment has been made, any modifications in the legislation of the Contracting Parties regulating directly or indirectly the investment, shall not be applied retroactively and the investments made under this Agreement shall therefore be protected.

Article 11 - Applicability of this Agreement

This Agreement shall apply to investments made in the territory of one of the Contracting Parties in accordance with its laws and regulations by investors of the other Contracting Party prior to as well as after the entry into force of this Agreement, but shall not apply to any dispute concerning an investment which arose, or any claim which was settled before its entry into force.

Article 12 - Entry into Force

This Agreement shall become effective as from the date of the last of the two written notifications by which the two Contracting Parties notify each other that their respective internal procedures have been completed.

Article 13 - Amendments

Amendments to the provisions of this Agreement may be agreed upon by the Contracting Parties. Such amendments shall become effective following the same procedures as provided for in Article 12.

Article 14 - Duration and Termination

1. This Agreement shall remain effective for a period of ten years from the date of the notification under Article 12 and shall remain in force for a further period of five years thereafter, unless one of the two Contracting Parties notifies in writing of its intention to terminate the Agreement by not later than one year before its expiry date.

2. In case of investments effected prior to the termination dates, as provided under paragraph 1 of this Article, the provisions of the Articles 1 to 11 shall remain effective for a further five years after the aforementioned dates.

In WITNESS WHEREOF, the undersigned, being duly authorised thereto by their respective Governments, have signed the present Agreement.

Done in Riga, this May 21, one thousand nine hundred and ninety seven, in two originals, in Italian, in Latvian and in English languages, all texts being equally authentic.

In case of any divergence, the English text shall prevail.

PROTOCOL

On signing the Agreement between the Government of the Italian Republic and the Government of the Republic of Latvia on the Promotion and Protection of Investments, the Contracting Parties also agreed on the following clauses, which shall be deemed to form an integral part of the Agreement.

1. Activities connected with investments

The provisions of this Agreement shall also apply to all the activities connected with an investment.

These activities shall include in particular, but not exclusively: the organization, control, operation, maintenance and disposition of companies, branches, agencies, offices, factories or other facilities for the conduct of business; the making and performance of contracts; the acquisition, use, protection and disposition of property of all kinds including intellectual property; the borrowing of funds; the purchase, issuance and sale of equity shares and other securities; and the purchase of currency for imports.

2. With reference to Article 2

a) Each Contracting Party will provide effective means of asserting claims and enforcing rights with respect to investments and investment agreements.

b) According to its laws and regulations, each Contracting Party shall govern as favourably as possible the matters connected with the entry, stay, work and movement in its territory of nationals of the other Contracting Party, and members of their families, performing activities related to investments under this Agreement.

c) Legal persons constituted under the applicable laws or regulations of one Contracting Party, which are owned or controlled by investors of the other Contracting Party, shall be permitted to engage top managerial personnel of their choice, regardless of nationality, in accordance with the legislation of the host Contracting Party.

3. With reference to Article 3

All the activities related to the procurement, sale and transport of raw and processed materials, energy, fuels and production means, as well as any other kind of operation related to them and linked to investment activities under this Agreement, shall be accorded, in the territory of each Contracting Party, no less favourable treatment than the one accorded to similar activities and initiatives taken by investors of the host Contracting Party or investors of Third States.

4. With reference to Article 5

Any measure undertaken towards an investment effected by an investor of one of the Contracting Parties, which substracts financial resources or other assets from the investment or causes substantial prejudice to the value of the same investment, as well as any other measure having equivalent effect, will be considered as one of the measures referred to in paragraph 1 of Article 5.

5. With reference to Article 8

Under Article 8 (3) (b), arbitration shall be conducted in accordance with the arbitration standards of the United Nations Commission on International Trade Law (UNCITRAL) as well as pursuant to the following provisions:

a) The Arbitration Tribunal shall be composed of three arbitrators; if they are not nationals of either Contracting Party, they shall be nationals of States having diplomatic relations with both Contracting Parties.

The appointment of arbitrators, when necessary pursuant to the UNCITRAL Rules, will be made by the President of the Arbitration Institute of the Stockholm Chamber, in his capacity as Appointing Authority. The arbitration will take place in Stockholm, unless the two parties in the arbitration have agreed otherwise.

b) When delivering its decision, the Arbitration Tribunal shall in any case apply also the provisions contained in this Agreement, as well as the principles of international law recognized by the two Contracting Parties.

The recognition and implementation of the arbitration decision in the territory of the Contracting Parties shall be governed by their respective national legislations, in compliance with the relevant International Conventions they are parties to.

In WITNESS WHEREOF, the undersigned, being duly authorised thereto by their respective Governments, have signed the present Protocol.
